Town Board was called to order by Town Supervisor Jaine Elkind Eney. Moved by
Councilmember King, seconded by Councilmember Regenstreich, the Work Session
unanimously opened at 5:01 p.m.
WORK SESSION ITEMS
1. Request for Executive Session
Moved by Councilmember Moss, seconded by Councilmember King, the Town
Board agreed to enter an Executive Session to discuss the employment history
of a particular person or persons.

Moved by Councilmember Regenstreich, seconded by Councilmember King,
the Town Board agreed to adjourn the Executive Session and resume the Work
Session.

2. Discussion - Millennium Strategies Agreement
The Town Administrator introduced the proposed agreement with Millennium
Strategies, outlining expanded services including grant research, writing, submission,
and centralized tracking and administration. Discussion focused on reducing
administrative burden, improving coordination, and the firm's prior success in securing
significant grant funding. The Board discussed contract structure, including a three-
year term with optional extensions, non-hourly billing, and a 30-day termination
provision. The Board expressed support for the agreement, noting return on
investment and operational efficiency.
3. Discussion - Bid TA-26-01 Highway Department Materials Disposal
The Board discussed the bid received for Highway Department materials disposal.
Administrator Robson noted that the Engineering Department recommended that the
Town Board reject the bid to allow for revisions to the bid documents to better reflect
disposal units used during fall leaf removal operations.

4. Discussion - Consultant Proposal 2026 Design Development for Storm Sewer
Improvements
The Town Administrator presented a proposal to continue engineering services for
stormwater infrastructure improvements. Discussion addressed the multi-year capital
plan, sequencing of design and construction, and the benefit of maintaining continuity
with the existing consultant. The Board reviewed project scope, current project status,
and ongoing grant coordination.
5. Discussion - NYS Unified Solar Permit Application
Supervisor Elkind Eney explained that adoption of the New York State Unified Solar
Permit is procedural, formalizes existing practices, and supports the Town's Climate
Smart Communities certification.
6. Discussion - Arbor Day Proclamation
The Town Supervisor noted the Town's continued participation in Tree City USA and
the requirement for this annual Arbor Day proclamation. Supervisor Elkind Eney also
mentioned the tree planting that the Town completes annually to maintain its Tree City
USA status.

the Town Board agreed to enter an Executive Session to discuss the
employment history of a particular person or persons and litigation with the
Village of Larchmont.

9. Updates
Members of the Town Board provided updates on recent meetings, events, and
ongoing initiatives.
Supervisor Elkind Eney discussed the 25th anniversary of the September 11
commemoration, noting potential scheduling conflicts with regional events. Based on
feedback from first responders, including the Fire Department and Town of
Mamaroneck Police Department, the Board expressed support for shifting the event to
September 10, with additional coordination to follow with the Ambulance Corps and
neighboring municipalities.
The Town Supervisor provided updates on upcoming events, including the Juneteenth
ceremony scheduled for June 19 at 10:00 a.m. featuring Bishop Wayne Powell, the
Keith Yizar Memorial Pavilion unveiling and fundraiser on April 18, and the Holocaust
Remembrance Service on April 14 in White Plains. Supervisor Elkind Eney also
proposed coordination of the Town's participation in a 250th anniversary flower
garden and time capsule, noting that the Town Environmental Planner Elizabeth
Aitchison would be leading the garden project with the Sustainability Collaborative
and a request to Town Clerk Allison May to lead on the time capsule.
Councilmember King noted interest in a potential half marathon event after observing
a recent local promotion, with follow-up underway with Riverfront Roadrunners
regarding logistics, participation, and charitable components.

The Board also discussed Fire Department operational needs, including upcoming
equipment replacements and capital considerations, such as turnout gear, hoses,
chief vehicles, and apparatus maintenance issues affecting multiple units.
Town Administrator Meredith Robson provided a comprehensive update on ongoing
projects and open matters. The Comprehensive Plan Implementation Plan remains in
progress, with a projected completion by this summer. Initial steps for the pool
redevelopment project are underway, including a proposed topographic survey and
geotechnical soil borings to inform a future master plan, with urgency due to expiring
grant funding. The Board also discussed shade structure improvements, including
financing options and Recreation Committee input, as well as ongoing contract
discussions with LMC Media, including disposition of Town-owned equipment and
funding structure.
Additional infrastructure and capital project updates from both the Town Supervisor
and Administrator included progress on the Weaver Street sidewalk (anticipated
completion in August), evaluation of traffic calming measures at the New Jefferson
corridor, planning for the Madison Avenue project, and design and bidding efforts for
the Tree Garage and recreational master plan. The Rockland Avenue Bridge project
continues in design following grant funding, with potential expansion beyond
underpinning under consideration.
Further discussion included sustainability and facilities planning initiatives, including
potential solar installations, generator projects pending County agreements, EV
charging coordination, and communication tools such as Constant Contact and its
SMS capabilities. The Town Administrator noted that zoning updates and lease
considerations for Town facilities remain under review.
10. Changes to Regular Meeting Agenda
There were no changes to the agenda except for the addition of a resolution granting
stipends.
8:00 PM TOWN BOARD REGULAR MEETING
The Town Board meeting convened in the Courtroom located on the second floor of the
Town Center. The public may also view the meeting on their cable set-top boxes — Optimum

CALL TO ORDER
The Regular Meeting of the Town Board was called to order by Town Supervisor Elkind
Eney at 8:17 p.m. The Town Supervisor noted that the Town Board met for a Work Session
beginning at 5:00 p.m. this evening, which was open to the public.
SUPERVISOR'S REPORT
On March 20th I attended the St. Patrick's Day Luncheon at the Senior Center. Ninety
seniors enjoyed corned beef and cabbage and all the fixings, and then they danced to Irish
music. I did not dance with them. I want to thank Stephanie and her staff for providing such
exceptional programs for our seniors. It's really incredible.
On March 22nd, Andrew, Alli, and I marched in the 14th Annual Sound Shore St. Patrick's
Day Parade along Mamaroneck Avenue. With the luck of the Irish, the rain held off and those
of us in the parade were greeted by enthusiastic crowds throughout. I want to thank Alli for
bringing Vanta, who was the superstar of the parade.

On March 30th, we broke ground on the long-awaited Parks Building, which was partially
destroyed during Hurricane Ida. The top floor of the Parks Building houses our sign shop and
the Parks Department is below, which is for storing equipment. The new building has a green
HVAC system that was funded in part by grants.
On April 1 , the Town, along with other communities, signed an inter-municipal agreement
revitalizing the Long Island Sound Watershed Inter-Municipal Council, or LISWC. LISWC is
needed to present coordinated municipal action focused on shared regional priorities
including flooding, stormwater management, and climate resilience. Through LISWC,
municipalities will coordinate mitigation projects, share data and best practices, advocate
collectively, and pursue funding opportunities at the county, state, and federal level. I'm
proud to serve as a member of the Executive Board of LISWC, and Councilmember Moss,
Andrew Regenstreich, and Town Administrator Robson attended the ceremony with me.
We have some upcoming events. On April 16th, from 5 to 7 p.m., the New York State
Department of Transportation is hosting an open house at Mamaroneck High School to
gather input about future enhancements to U.S. Route 1 . The goal is to enhance safety,
promote pedestrian and bicycle transit, and we hope as many people as possible attend.
On April 18th, from 10 a.m. to 12 noon, we will have our annual spring Earth Day cleanup at
Leatherstocking Trail. We supply the bags and gloves, and it's always amazing how much is
collected.
And on April 19th, we will have our annual Bunny Hop 5K and one-mile kids run at Memorial
Park.

1. Public Hearing 1 - "Adoption of the Updated NYStretch Energy Code" Law
The following Notice of Public Hearing is entered into the record as follows:
PUBLIC HEARING NOTICE
LEGAL NOTICE IS HEREBY GIVEN that pursuant to Section 130 of the Town Law of
the State of New York, a Public Hearing will be held on Wednesday, April 8, 2026, at
8:00 p.m. or as soon thereafter as is possible, to consider the "Adoption of the
Updated NYStretch Energy Code" law, at the Town Center, 740 W. Boston Post
Road, Mamaroneck, New York.
Purpose:
To protect and promote the public health, safety, and welfare of its residents by
requiring compliance with energy efficient building standards, in 2021, the Town Board
adopted the NYStretch Energy Code 2020, published by the New York State Energy
Research and Development Authority. On December 31 , 2025, the State of New York
adopted the 2025 Energy Conservation Code of New York State (2025 ECCCNYS).
The Town Board recognizes that parts of the NYStretch Energy Code 2020 are more
restrictive than parts of the 2025 ECCCNYS but other parts are not. The Town Board
wishes to make the more stringent requirements for energy efficient construction in both
the NYStretch Energy Code 2020 and the 2025 ECCCNYS applicable to construction
in the unincorporated area of the Town of Mamaroneck.
Acting pursuant to New York Energy Law §11-109(1), the Town Board updates the
Town Code by incorporating into it the most energy efficient building standards of both
the NYStretch Energy Code 2020 and the 2025 ECCCNYS.

Local Law No. 1 — 2026
This local law shall be known as the "Adoption of the Updated NYStretch Energy
Code" law.
BE IT ENACTED by the Town Board of the Town of Mamaroneck
Section 1 — Purpose:

Section 106-40.1 of the Code of the Town of Mamaroneck is repealed, and the
following is substituted in its place:
§106-40.1 Adoption of NY Stretch Energy Code 2020

A. The NYStretch Energy Code 2020 shall apply to all new construction, substantial
renovations, alterations and additions in the unincorporated area of the Town of
Mamaroneck with respect to properties for which a building permit was issued prior to
December 31, 2025.
B. All new construction, substantial renovations, alterations and additions in the
unincorporated area of the Town of Mamaroneck with respect to properties for which
a building permit was applied on or after December 31, 2025, shall comply with both
the NYStretch Energy Code 2020 and the 2025 ECCCNYS. In those areas where the
NYStretch Energy Code 2020 imposes more stringent requirements for energy
efficient construction than the 2025 ECCCNYS does, the NYStretch Energy Code
2020 shall apply. In those areas where the 2025 ECCCNYS imposes more stringent
requirements for energy efficient construction than the NYStretch Energy Code 2020
does, the 2025 ECCCNYS shall apply.
C. Notwithstanding the foregoing, the more stringent requirements for energy efficient
construction imposed by 2025 ECCCNYS shall not apply to persons who either have
or will have obtained building permits or have or will have submitted complete
applications for building permits prior to December 31 , 2025.
Section 3 — Severability:
Should any provision of this Local Law be declared invalid or unconstitutional by any
court of competent jurisdiction, such declaration of unconstitutionality or invalidity shall
not affect any other provisions of this Local Law, which may be implemented without
the invalid or unconstitutional provisions.
Section 4 — Effective Date:
This Local Law shall become effective upon filing with the Secretary of State.

the Local Law known as "Law to Change the Hours when Fields are Open" was
approved:
Local Law No. 2 - 2026
This local law shall be known as the "Change in the Hours when Fields are Open"
law.
BE IT ENACTED by the Town Board of the Town of Mamaroneck
Section 1 — Purpose:
The Town Board finds that for a limited time, fields should be available for use on
Saturdays starting at 8:00 a.m. instead of 9:00 a.m. as is the current rule.
Section 2 —Amendment of a current section of the Mamaroneck Code:
Section 148-5 B. of the Code of the Town of Mamaroneck hereby is amended by
repealing the current section and replacing it with the following:
§ 148-5 Hours
B. The fields can be used only by those persons to whom permits have been issued
and can be used only for the reason specified in the permit. The fields shall be open
for use by the persons to whom a permit has been issued on Saturdays from 8:00
a.m. (prevailing time) to dusk from April 11 , 2026, through and including June 27,
2026 and on all other days from 9:00 a.m. (prevailing time) to dusk, except when an
event sponsored by the Town or an organized activity or a one-day event is being
conducted in which case the field where the event is held shall close at the later of
dusk or 1/2 hour after such event is concluded.
Section 3 — Severability:
Should any provision of this Local Law be declared invalid or unconstitutional by any
court of competent jurisdiction, such declaration of unconstitutionality or invalidity shall
not affect any other provisions of this Local Law, which may be implemented without
the invalid or unconstitutional provisions.

1. Call to Order
Commissioner Elkind Eney called the Meeting to order, then on motion of
Commissioner Moss, and seconded by Commissioner King, the Board of Fire
Commissioners was unanimously declared open.

AFFAIRS OF THE TOWN OF MAMARONECK
1. Consideration to Set a Public Hearing - Proposed Local Law "Revision of the
Senior Citizens Tax Exemption"
The Town Attorney outlined proposed revisions to the Town's senior citizen tax
exemption to align with Westchester County policy excluding non-taxable Social

Security income from eligibility calculations. The update also modernizes and clarifies
outdated provisions in the Town Code. He noted that setting the public hearing now
ensures adoption prior to the May 1 taxable status date.
Moved by Councilmember Moss, seconded by Councilmember King, it was
RESOLVED, that the Town Board hereby sets a public hearing for proposed
local law "Revision of the Senior Citizens Tax Exemption" for the April 22, 2026,
Town Board meeting.

2. Consideration - Millennium Strategies Agreement
The Town Administrator introduced this expanded agreement with Millennium
Strategies for comprehensive grant consulting services.
Moved by Councilmember King, seconded by Councilmember Moss, it was
RESOLVED, that the Town Board hereby approves the 2026 agreement with
Millennium Strategies for grant consulting services which includes and hereby
authorizes the Town Administrator to execute the agreement, any term
extensions up to a total of five years, and any related documents necessary to
carry out its implementation.

3. Consideration to Reject Bid TA-26-01 Highway Department Materials Disposal
Administrator Robson advised that the submitted bid did not adequately reflect
operational needs and recommended rejection. The Town Administrator said that the
bid would be updated and reissued to encourage broader participation; revisions will
clarify unit measurements and scope, particularly related to leaf and wood debris
disposal.
Moved by Councilmember Moss, seconded by Councilmember King, it was
RESOLVED, that the Town Board hereby rejects Bid TA-26-01 - Highway
Department Materials Disposal.

4. Consideration - Consultant Proposal 2026 Design Development for Storm Sewer
Improvements
The Town Administrator proposed the continuation of engineering services for
stormwater infrastructure improvements with H2M Architects as part of the Town's
multi-year capital plan. The agreement supports the Town's ongoing efforts to
address chronic flooding and advance long-term infrastructure resilience.
Moved by Councilmember King, seconded by Councilmember Moss, it was
RESOLVED, that the Town Board hereby approves the agreement from
consultants H2M Architects + Engineers for design development of storm sewer
improvements for a budget not to exceed$343,600.00 and hereby authorizes
the Town Administrator to execute the agreement and any related documents
necessary to carry out its implementation.

5. Consideration - NYS Unified Solar Permit Application

RESOLVED, that the Town Board hereby approves the adoption of the New
York State Unified Solar Permit application and authorizes its use for small-
scale photovoltaic systems.

6. Consideration - Arbor Day Proclamation
Moved by Councilmember Moss, seconded by Councilmember King, it was
RESOLVED, that the Town Board hereby proclaims Friday, April 24, 2026, as
Arbor Day in the Town of Mamaroneck.

7. Consideration of Certiorari
Moved by Councilmember King, seconded by Councilmember Moss, it was
RESOLVED, that the Town Board hereby approves the settlement of certiorari
for 2108-2122 Boston Post Road resulting in a refund of$370.00.

8. Resolution Granting Stipends
The Board recognized extraordinary efforts by Highway Department supervisors
during the three snowstorms in early 2026, noting extended hours and operational
demands without overtime eligibility. The one-time stipend was proposed to
acknowledge their contributions. The Board emphasized appreciation for staff
dedication and public safety outcomes.
Moved by Councilmember King, seconded by Councilmember Moss
WHEREAS, the snowstorms of early 2026 required the members of the Town's
Highway Department to work extraordinary amounts of overtime to clear the
public places and make the Town safe for its residents and visitors, and
WHEREAS, the people who supervised the Highway employees worked the
same amount of time as the members of the Highway Department who
performed the snow removal, and
WHEREAS, these supervisors are not entitled to receive paid overtime for the
enormous number of additional hours that they worked, and
WHEREAS, the Town Board finds that the exceptional effort by these
supervisors deserves to be recognized
BE IT RESOLVED, that the following stipends shall be paid:
To John Barretto, the sum of$5,000.00
To John Galli, the sum of$5,000.00 and
To Christopher Gonch the sum of$4,000.00, and
Be it further
RESOLVED, the award of these stipends shall have no precedential value as
they are being granted due to highly unusual circumstances.

REPORTS OF THE COUNCIL
Councilmember King
• Extended well wishes to residents for a safe and healthy spring season.
• Noted that the upcoming weekend marks the start of the Town's spring recreation
programming, highlighting the Annual Bunny Hop on April 19th at Memorial Park,
including a one-mile children's race at 8:30 a.m. followed by the 5K (3.1 miles) at 9:00
a.m.
• Highlighted the "Dancing Through the Decades" fundraiser on April 18th from 6:00
p.m. to 9:00 p.m. at St. Thomas Church, held in memory of Keith D. Yeiser, with
proceeds benefiting two graduating high school seniors.
Councilmember Nichinsky
• Councilmember Nichinsky was not present.
Councilmember Moss
• Congratulated the Mamaroneck High School basketball team on an outstanding
season, including reaching the semifinals and securing the program's first Sectional
title.
• Reported attending the Long Island Sound Watershed Inter-Municipal Council
(LISWC) signing and encouraged residents to attend the upcoming New York State
Department of Transportation open house.
• Highlighted upcoming community events, including the Town's Spring Clean-Up,
Earth Day activities, and compost giveaways scheduled for May 2nd at Maxwell
Avenue and May 3rd in Lot A through Westchester County, with additional details to
be provided on the Town's website.
Councilmember Regenstreich
• Reported attending the LISWC signing, noting it reflects the Town's ongoing
commitment to sustainability, environmental protection, and Long Island Sound
Restoration.
• Attended a Housing Authority meeting, emphasizing continued support for the Town's
most vulnerable residents.
• Provided an update on Planning Board engagement, highlighting efforts to ensure a
positive and effective review process.
• Noted the Board's broader commitment to sound governance, including strategic
investments such as the Millennium Strategies agreement and sustainability initiatives
including the unified solar permitting.

TOWN CLERK'S REPORT
Town Clerk May announced a voter engagement event to be held at the Larchmont Library

TOWN ATTORNEY'S REPORT
Town Attorney Maker reflected on the opening of baseball season, noting both the
consistency and unpredictability of the sport and observing that early season results often do
not predict how the season will ultimately unfold.

This Agreement is made and entered into by and between Millennium Strategies LLC (herein referred to as
"Consultant")located at 25 Smith Street,Suite 401,Nanuet,NY, 10954 and Town of Mamaroneck(herein referred
to as"Client")located at 740 West Boston Post Road,Mamaroneck,NY,10543.
SCOPE OF SERVICES
Consultant will provide Grant Consulting Services on behalf of Client.Services to be provided are as follows:
Grant Research, Writing,and Consulting Services
Consultant will identify,research,and present available governmental and non-governmental grant opportunities as
well as prepare and submit grant applications in support of Client's priority projects.Consultant will also track and
report on the status of all services rendered and participate in requested meetings to ensure services remain aligned
with Client's evolving needs and goals.Services include:
• Conduct strategic planning for grant research and funding to be pursued in keeping with Client's budget,capital
plan, and identified needs. This process will include coordinating meetings with administrators, department
heads,and other personnel to review Client's funding goals.
• Research all available governmental and non-governmental grant opportunities on a continual basis throughout
the duration of the contract period.Detailed research memos and application breakdowns will be presented by
Consultant to Client on a weekly basis for all grant opportunities that align with Client's priority
projects/programs.
• Preparation and submission of all grant applications authorized by Client, in accordance with the guidelines
established by funding agencies, on a continual basis throughout the duration of the contract period. This
includes all necessary follow-up with governmental,non-governmental,and legislative agencies in support of
applications submitted by Consultant on behalf of Client.
• Submission of a monthly report detailing all activities undertaken by Consultant on behalf of Client. The
monthly report will include all grants awarded, grants submitted and pending approval,grant applications-in-
progress, grants presented, and grants denied, providing an ongoing assessment of Consultant's efforts
throughout the duration of the contract period.
• Provision of access to the GranTrack—Programs and Applications Tool.This web-based tool will provide real-
time access to downloadable memos for grant opportunities presented by Consultant, a record of all grant
applications Consultant has submitted on behalf of Client,and other data documenting Client's grant-seeking
efforts.
GranTrack—Awards Management Tool
The GranTrack-Awards Management Tool is a web-based platform designed to help local governments centralize,
organize, and proactively manage grant awards. The tool is equipped with a variety of features to support grant
management,including:
• Award status tracking • Compliance checks and system alerts
• Document storage and retrieval • Multiple ways to view and filter data
• Payment tracking and reminders • Budget and match tracking
• Report scheduling and reminders • Automated communications/alerts
In order to support the deployment of GranTrack, Consultant will lead a 90-day onboarding process to establish

Grant Administration Services
At the end of the 90-day onboarding process,Consultant will provide comprehensive Grant Administration Services
on behalf of Client. Consultant will actively oversee and manage all active and future grant awards received by
Client,including the management of all data and grant award records within GranTrack. Services include:
• Review and execution of grant agreements,as well as reporting and compliance requirements.
• Setup of reporting and payment portals,as well as ensuring active registration in SAM.gov
• Award setup in GranTrack,including uploading files,assigning user roles,and adding budget details.
• Coordination of kickoff meetings with key project staff
• Serving as primary point of contact with funding agencies and completing grant amendments as needed.
• Preparation and submission of programmatic/financial reports,including reimbursement requests.
• Monitoring grant compliance including expenditures,subrecipient agreements,and procurement.
• Maintenance of detailed award records within GranTrack.
• Processing of administrative closeout of grant awards and retention of all grant records.

ASSUMPTIONS
The following assumptions detail the roles and responsibilities of Client.
• Client shall designate a primary point of contact to ensure timely cooperation, access to information, and
internal approvals as necessary in order for Consultant to perform services as outlined within the Scope of
Services.
• Client shall ensure timely delivery of data necessary to complete GranTrack onboarding process within the
prescribed 90-day onboarding window.The onboarding fee will be billed at the end of the 90-day onboarding
window and billing will transition to the monthly retainer fee for Grant Administration Services,regardless of
the status of the onboarding process.
• Client shall ensure timely delivery of data necessary to complete programmatic and financial reports including,
but not limited to cancelled checks,purchase orders,contracts,invoices,and programmatic performance details.
• Client remains responsible for policy decisions,expenditure authorization,procurement compliance,and final
• approval of reports and submissions. Consultant relies on the accuracy and completeness of information
provided by Client and does not assume responsibility for Client's internal controls or financial systems.

TERM
This Agreement shall be for a term of up to five(5)years consisting of an initial term of three(3)years and two(2)
one-year renewal options as outlined below.The renewal options may be authorized with the written mutual consent
of both Consultant and Client.

AMENDMENTS
Either party may request a modification to the level or type of services provided,including the addition or removal
of specific service components. Any approved modification shall be documented through a written amendment to
this Agreement and shall take effect on a prospective basis as mutually agreed upon by Client and Consultant.
Notwithstanding any such modification,the Client shall remain responsible for all fees paid, incurred,or pending
payment for services already completed or in progress prior to the effective date of such amendment.This includes,
but is not limited to, any recurring monthly retainer fees, the GranTrack annual and onboarding fees, and any
approved project-based fees. Such fees shall remain due and payable, are non-refundable, and are not subject to
proration.All other terms and conditions of this Agreement shall remain in full force and effect.
TERMINATION
Either party may terminate this Agreement at any time by providing written notice to the other party via registered
mail. Termination shall become effective thirty (30) days following the receipt of such notice. In the event of
termination. all recurring monthly retainer fees shall continue through the effective date of termination. As of the
effective date termination,all recurring monthly retainer fees shall cease.The Client shall remain responsible for all
fees paid,incurred,or pending payment for services already completed or in progress prior to the effective date of
termination. This includes, but is not limited to, any recurring monthly retainer fees, the GranTrack annual and
onboarding fees,and any approved project-based fees. Such fees shall remain due and payable,are non-refundable,
and are not subject to proration.
HOLD HARMLESS
Each party hereby agrees to indemnify and hold the other party harmless from any expense,loss,liability,or claim
incurred directly or indirectly by the responsible party with respect to any actions or omissions, authorized or
unauthorized, of such party, its employees, agents, servants, subcontractors, or assignees with respect to this
Agreement. Indemnification shall include, but not be limited to fees, claims, demands, and losses, court costs,
settlement costs,and counsel fees whatsoever the nature,without limitation.
ASSIGNABILITY
This Agreement is not assignable without the prior written consent of both Client and Consultant.
BINDING
This Agreement shall be binding upon each party's successors or assignees.
LAW
The terms of this Agreement shall be governed by the laws of the State of New York

DISPUTES
The parties hereto stipulate and agree that any dispute between them, whether equitable or legal relief is sought,
shall be venued in the Supreme Court of New York, Westchester County. Each of the parties to this Agreement
further stipulate and agree to the personal and subject matter jurisdiction of the Supreme Court of New York,
Westchester County in such dispute or proceeding.
