General:
In compliance with the Budget Policy, the following 2026 Capital Budget amendments are
recommended for approval:
1. Roads, Sidewalks, Curb Improvements (H5104)
Bid proposals were received for the annual road pavement resurfacing and related
improvements. Based on the results, additional funding is required to award the bid. A budget
transfer is recommended to appropriate the additional funds from the Highway Fund Balance to
fully fund the project in accordance with the Town Engineer's bid award recommendation.

Attached is a memorandum from Town Comptroller Tracy Yogman recommending that the Town
Board reject all bids received for Bid No. TA-26-05 "Janitorial Services — Town Facilities." During
the evaluation process, it was determined that there was bidder confusion over the work schedules in
the bid specifications, resulting in inconsistent interpretations of the scope of work, staffing
requirements, and pricing.

Subject: Bid TA-26-05 "Janitorial Services - Town Facilities"
General:
The Town currently contracts for janitorial services at six Town facilities. These services are being
provided by Commercial Building Maintenance (CBM) on a month-to-month basis, with the current
rates remaining in effect through August 31, 2026.
On April 24, 2026, the Town issued a bid for janitorial services, additional janitorial services, and
concierge services for Town Center.Fourteen (14) bids were received and publicly opened.
Following a review of the bids, it was determined that there was bidder confusion over the work
schedules in the bid specifications,particularly for the ice rink facility. As a result, bidders interpreted
the scope of work differently, resulting in significant variations in the estimated square footage,
staffing hours, and bid prices. Because the bids are not based on a consistent understanding of the
services to be provided, they cannot be fairly or accurately evaluated.
Rejecting all bids is in the Town's best interest and will allow staff to revise the work schedules and
Cost Proposal Form to clearly define the scope of services before reissuing the solicitation, ensuring a
fair and competitive bidding process.

SUBJECT: Recommendation of Bid Award
TA-26-10—Resurfacing of Various Roads
GENERAL:
Bid procurement was recently completed for the Town's 2026 road resurfacing contract. The base project
scope consists of pavement resurfacing and related work on various streets throughout the Town,including
Eton Rd, Ellsworth Rd, Little Farms Rd, Barnum Rd, Stoneyside Dr, E. Garden Rd, E. Brookside Dr,
Rocky Rd, N. Brook Rd, Hickory Grove Dr. E., Lakeside Dr, Plymouth Rd, Winthrop Ave, Poplar Rd,
Springdale Rd, and Rockingstone Ave.
On June 25, 2026, three (3) bid proposals were received as summarized on the attached bid tabulation.
The apparent low bidder is Laura Li Industries LLC at the submitted base bid price of$745,380.00 for the
contract scope. Add Alternate No. 1 was included on the bid form for the addition of resurfacing work on
Old Hommocks Road. The additional cost for the inclusion of Alternate No. 1 amounts to $27,341.00
above the base bid price.
Laura Li Industries has completed the Town's annual road resurfacing contract for the last four
consecutive years. Work completed by the contractor has been of satisfactory quality and conducted in a
professional manner. No errors or omissions that could potentially impact the viability of their bid price
have been identified at this time.
Budget for pavement resurfacing was planned as part of the 2026 adopted capital budget (H5104). A
budget amendment has been submitted based upon this year's bid result. The Engineering Department
recommends authorization of the contract award to Laura Li Industries in the base bid contract amount of
$745,380.00. The contract includes a miscellaneous additional work line item of$10,000.00 that can be
used at the Town's discretion for contingency work. Insufficient funding exists in the funded capital
project H5104. A capital budget amendment of$38,260.00 is required to fund the base bid award.

General:
In accordance with the Town Board's request to begin the Budget Process as early as possible, the
preliminary draft of the 2027 Capital Budget Book and the Five-Year Capital Plan will be distributed
during the work session. Capital project cost estimates are preliminary and are expected to be refined
as the budget development process progresses.
The Five-Year Capital Plan is organized by department. Each project proposed for funding in 2027
will eventually be categorized as Required, For Discussion, or Optional to assist the Town Board in
prioritizing projects and guiding budget discussions.
An initial review of the Capital Plan will be scheduled for the August 19th Town Board meeting.

Subject: Resolution in Support of the Local Government Notice Modernization and
Transparency Act(A.10387/S.9558)
General:
Attached for consideration is a resolution expressing the Town Board's support for Assembly Bill
A.10387 and Senate Bill S.9558, the Local Government Notice Modernization and Transparency Act,
which are currently pending before the New York State Legislature.
The proposed legislation would modernize New York's public notice requirements by allowing
municipalities, at their option and upon adoption of a local law, to publish certain legal notices on
their official municipal websites rather than exclusively in newspapers.
The bill does not eliminate public notice requirements. Rather, it provides municipalities with
additional tools toimprove public access while maintaining transparency through official municipal
websites and physical public postings.
The Town of Mamaroneck spent approximately $8,739 on required legal notice publications in 2025,
an increase of approximately 26% over the previous two years. At the same time, newspaper
readership and circulation have continued to decline, while residents increasingly rely on municipal
websites, email notifications, and social media for information about local government.
The attached resolution supports legislation that would provide municipalities with greater flexibility
to communicate with residents using modern, accessible, and cost-effective methods while preserving
transparency and public participation. I respectfully recommend the Town Board adopt the attached
resolution.

TOWN OF MAMARONECK
RESOLUTION IN SUPPORT OF THE LOCAL GOVERNMENT NOTICE
MODERNIZATION AND TRANSPARENCY ACT (A.10387/5.9558)
WHEREAS, Assembly Bill A.10387 and Senate Bill S.9558, known as the Local Government
Notice Modernization and Transparency Act, are currently pending before the New York
State Legislature and would authorize municipalities, upon adoption of a local law, to satisfy
certain legal notice requirements through publication on their official municipal websites as an
alternative to newspaper publication; and
WHEREAS, current New York State law requires municipalities to publish numerous legal
notices in newspapers, despite significant changes in how residents access information, with
most now relying on municipal websites, email notifications, and other digital communication
methods; and
WHEREAS, costs for legal notice publications in 2025 for the Town of Mamaroneck increased
more than twenty-six percent in just the past two years, while newspaper readership and
circulation have continued to decline; and
WHEREAS, the proposed legislation would preserve public notice requirements and would
provide municipalities with the flexibility to utilize official municipal websites, together with
physical public postings and other required notice procedures, thereby improving public access,
enhancing transparency, and reducing taxpayer costs;
NOW, THEREFORE, BE IT RESOLVED, that the Town Board of the Town of Mamaroneck
hereby expresses its support for Assembly Bill A.10387 and Senate Bill S.9558, the Local
Government Notice Modernization and Transparency Act; and be it further
RESOLVED, that the Town Board respectfully urges the New York State Legislature and
Governor Kathy Hochul to enact this legislation to provide local governments with greater
flexibility in meeting public notice requirements while maintaining transparency and public
access to information; and be it further
RESOLVED, that the Town Clerk is directed to transmit copies of this Resolution to Governor
Kathy Hochul, Senator Shelley B. Mayer, Assemblymember Steve Otis, the leadership of the
New York State Senate and Assembly, the New York Association of Towns, the New York State
Town Clerks Association, and such other parties as may be appropriate.

implementation.

The Assessor's parents have filed a grievance challenging the assessment of their
home. For obvious reasons, neither the Assessor, the Board of Assessment Review nor I
should be involved with the adjudication of the grievance.
I attach a proposed agreement which would shift the responsibility of defending
the assessment to the Board of Assessment Review of the Town of Rye. This type of
intermunicipal agreement has been entered into in the past when other Town officials
have filed grievances with respect to their homes. In fact, this has been a two-way street
with the Town's Board of Assessment Review occasionally handling grievances filed in
Scarsdale and Rye by officials of those communities.

AGREEMENT
BETWEEN THE TOWN OF MAMARONECK AND THE TOWN OF RYE WHEREBY
(A)THE TOWN OF RYE'S BOARD OF ASSESSMENT REVIEW WILL ADJUDICATE
A GRIEVANCE CHALLENGING THE ASSESSED VALUATION OF A PROPERTY
IN THE TOWN OF MAMARONECK AND (B) THE ASSESSOR OF THE TOWN OF
RYE WILL REPRESENT THE TOWN OF MAMARONECK IN THAT PROCEEDING.
THIS AGREEMENT(the"Agreement")is made as of the day of July 2026,
by and between the Town of Mamaroneck, a municipal cooperation organized and
existing under the laws of the State of New York, with its principal place of business
located at 740 West Boston Post Road, Mamaroneck, New York, and the Town of Rye, a
municipal corporation organized and existing under the laws of the State of New York,with
its principal place of business located at 222 Grace Church Street, Port Chester, New York.
RECITALS
WHEREAS,General Municipal Law§119-o authorizes a municipality to enter into or
assign a municipal function to another municipality by executing an inter-municipal
agreement with that municipality, and
WHEREAS, Paul and Suzanne Kaider (''Petitioners") are the owners of real property
within the Town of Mamaroneck located at 51 Hillcrest Avenue,Larchmon.t,New York 10538
("Property"), and have filed a complaint challenging the Property's 2026 assessed valuation
("Petitioners' Grievance"), and
WHEREAS, the Petitioners are the parents of the Town of Mamaroneck Assessor ,
and

WHEREAS, the Town Assessor, appointed by the Town Board of the Town of
Mamaroneck, is charged with the responsibility of defending grievances and SCAR
proceedings involving challenges to assessments of real property located within the Town
of Mamaroneck, and
WHEREAS, the Board of Assessment Review of the Town of Mamaroneck hears
grievances filed by owners of real property located within the Town of Mamaroneck, and
WHEREAS,the attorney, appointed by the Town Board of the Town of Mamaroneck,
serves as Counsel to the Town of Mamaroneck and its Assessor and its Board of
Assessment Review and is sometimes called upon to advise, appear and/or defend
grievances and SCAR proceedings involving the Town of Mamaroneck, and
WHEREAS, it would present a conflict of interest or give the appearance of
impropriety for the Counsel to the Town of Mamaroneck, its Assessor and its Board of
Assessment Review to be involved in the adjudication of the Petitioners' Grievance, and
WHEREAS, to avoid any conflict of interest and to avoid the appearance of
impropriety the Town Board of the Town of Mamaroneck has determined that no one
affiliated with the Town of Mamaroneck should be involved with the Petitioners' Grievance,
and
WHEREAS,the Town of Mamaroneck has asked the Town of Rye (a) to authorize the
Board of Assessment Review of the Town of Rye ("Rye BAR") to determine the Petitioners'
Grievance and (b)to authorize the Assessor of the Town of Rye("Rye Assessor") to represent
the Town of Mamaroneck before the Rye BAR in connection with the Petitioners' Grievance

and in any SCAR proceeding that the Petitioners may bring with respect to the Petitioners'
Grievance.
Now therefore intending to be bound,the Town of Mamaroneck and the Town of Rye
agree as follows:
1. The Town Assessor of the Town of Mamaroneck shall refer the Petitioners'Grievance
and SCAR petition, should one be filed, to the Town of Rye. The Rye BAR shall treat
the Petitioners' Grievance as if it were a challenge to the assessed value of real
property located within the Town of Rye.
2. (a) The Town of Mamaroneck grants the Rye Assessor the authority to take any and
all appropriate action to defend the Property's 2026 assessment before the Rye BAR
and in Court in a SCAR proceeding should the petitioners file a SCAR proceeding
challenging the Property's 2026 assessment.
(b)The Town of Mamaroneck also grants the Rye Assessor the authority to negotiate
a resolution of the Petitioners' Grievance and will abide by and/or approve any
settlement that the Rye Assessor may reach with the Petitioners or his/her
representative.
3. (c) If the Rye Assessor deems an appraisal of the Property to be necessary, the Town
of Rye shall order such appraisal and the Town of Mamaroneck shall reimburse the
Town of Rye for the cost of such appraisal. The Town of Mamaroneck also shall pay
the Town of Rye for any and all costs in connection with the Rye Assessor's time, and
for additional appraisals,if needed.

4. This Agreement shall terminate and all obligations that the Rye Assessor must
perform hereunder shall cease if (a) the Petitioners do not file a SCAR.proceeding or
commence a proceeding pursuant to Article 7 of the Real Property Tax Law after the
Rye BAR renders its decision on the Petitioners' Grievance or (b) a SCAR proceeding
is adjudicated by the Supreme Court of the State of New York or (c) the Rye Assessor
negotiates a resolution of the Petitioners' Grievance or (d) the Petitioners commence
either (i) a proceeding pursuant to Article 7 of the Real Property Tax Law after the
Rye BAR renders its decision on the Petitioners' Grievance, (ii) an Article 78
proceeding challenging the determination made by the Supreme Court of the State of
New York in a SCAR proceeding or(iii)any other litigation challenging the Property's
2026 assessment, it being understood that this Agreement does not authorize or
require the Town of Rye, the Rye Assessor, the Rye BAR or any of its other officers,
employees, consultants, representatives, attorneys or volunteers to represent the
Town of Mamaroneck in any litigation other than the Rye Assessor representing the
Town of Mamaroneck in a SCAR proceeding brought by the Petitioner to challenge
the Property's 2026 assessment.
5. The respective representatives of each municipality, who execute this Agreement
on behalf of their respective municipal corporations, are duly authorized and
empowered to execute this Agreement.
6. Any and all notices, communications, payments and demands required under this
Agreement shall be made in writing, addressed as follows, or to such other address
as may be hereafter designated,in writing,by each party hereto:

7. This Agreement contains the entire understanding of the parties who hereby
acknowledge that there has been and are no representations,warranties, covenant or
understandings other than those expressly set forth herein.
8. Neither this Agreement nor any provision hereof, shall be amended or modified, or
deemed amended or modified, except by an agreement in writing duly subscribed
and acknowledged by all parties to this Agreement with the same formality as this
Agreement.
9. This Agreement shall be binding upon, and for the benefit of,the parties, their heirs,
successors and assigns.
10. All matters affecting the interpretation of this Agreement and the rights of the parties
hereto shall be governed by the laws of the State of New York.
IN WITNESS THEREOF, the Town of Mamaroneck and the Town of Rye have agreed

General:
The Town currently contracts for janitorial services at six Town facilities. These services are being
provided by Commercial Building Maintenance (CBM) on a month-to-month basis, with the current
rates remaining in effect through August 31, 2026.
On April 24, 2026, the Town issued a bid for janitorial services, additional janitorial services, and
concierge services for Town Center.Fourteen (14) bids were received and publicly opened.
Following a review of the bids, it was determined that there was bidder confusion over the work
schedules in the bid specifications,particularly for the ice rink facility. As a result, bidders interpreted
the scope of work differently, resulting in significant variations in the estimated square footage,
staffing hours, and bid prices. Because the bids are not based on a consistent understanding of the
services to be provided, they cannot be fairly or accurately evaluated.
Rejecting all bids is in the Town's best interest and will allow staff to revise the work schedules and
Cost Proposal Form to clearly define the scope of services before reissuing the solicitation, ensuring a
fair and competitive bidding process.

TA-26-10—Resurfacing of Various Roads
GENERAL:
Bid procurement was recently completed for the Town's 2026 road resurfacing contract. The base project
scope consists of pavement resurfacing and related work on various streets throughout the Town,including
Eton Rd, Ellsworth Rd, Little Farms Rd, Barnum Rd, Stoneyside Dr, E. Garden Rd, E. Brookside Dr,
Rocky Rd, N. Brook Rd, Hickory Grove Dr. E., Lakeside Dr, Plymouth Rd, Winthrop Ave, Poplar Rd,
Springdale Rd, and Rockingstone Ave.
On June 25, 2026, three (3) bid proposals were received as summarized on the attached bid tabulation.
The apparent low bidder is Laura Li Industries LLC at the submitted base bid price of$745,380.00 for the
contract scope. Add Alternate No. 1 was included on the bid form for the addition of resurfacing work on
Old Hommocks Road. The additional cost for the inclusion of Alternate No. 1 amounts to $27,341.00
above the base bid price.
Laura Li Industries has completed the Town's annual road resurfacing contract for the last four
consecutive years. Work completed by the contractor has been of satisfactory quality and conducted in a
professional manner. No errors or omissions that could potentially impact the viability of their bid price
have been identified at this time.
Budget for pavement resurfacing was planned as part of the 2026 adopted capital budget (H5104). A
budget amendment has been submitted based upon this year's bid result. The Engineering Department
recommends authorization of the contract award to Laura Li Industries in the base bid contract amount of
$745,380.00. The contract includes a miscellaneous additional work line item of$10,000.00 that can be
used at the Town's discretion for contingency work. Insufficient funding exists in the funded capital
project H5104. A capital budget amendment of$38,260.00 is required to fund the base bid award.

Attached for consideration is a resolution expressing the Town Board's support for Assembly Bill
A.10387 and Senate Bill S.9558, the Local Government Notice Modernization and Transparency Act,
which are currently pending before the New York State Legislature.
The proposed legislation would modernize New York's public notice requirements by allowing
municipalities, at their option and upon adoption of a local law, to publish certain legal notices on
their official municipal websites rather than exclusively in newspapers.
The bill does not eliminate public notice requirements. Rather, it provides municipalities with
additional tools toimprove public access while maintaining transparency through official municipal
websites and physical public postings.
The Town of Mamaroneck spent approximately $8,739 on required legal notice publications in 2025,
an increase of approximately 26% over the previous two years. At the same time, newspaper
readership and circulation have continued to decline, while residents increasingly rely on municipal
websites, email notifications, and social media for information about local government.
The attached resolution supports legislation that would provide municipalities with greater flexibility
to communicate with residents using modern, accessible, and cost-effective methods while preserving
transparency and public participation. I respectfully recommend the Town Board adopt the attached
resolution.

RESOLUTION IN SUPPORT OF THE LOCAL GOVERNMENT NOTICE
MODERNIZATION AND TRANSPARENCY ACT (A.10387/5.9558)
WHEREAS, Assembly Bill A.10387 and Senate Bill S.9558, known as the Local Government
Notice Modernization and Transparency Act, are currently pending before the New York
State Legislature and would authorize municipalities, upon adoption of a local law, to satisfy
certain legal notice requirements through publication on their official municipal websites as an
alternative to newspaper publication; and
WHEREAS, current New York State law requires municipalities to publish numerous legal
notices in newspapers, despite significant changes in how residents access information, with
most now relying on municipal websites, email notifications, and other digital communication
methods; and
WHEREAS, costs for legal notice publications in 2025 for the Town of Mamaroneck increased
more than twenty-six percent in just the past two years, while newspaper readership and
circulation have continued to decline; and
WHEREAS, the proposed legislation would preserve public notice requirements and would
provide municipalities with the flexibility to utilize official municipal websites, together with
physical public postings and other required notice procedures, thereby improving public access,
enhancing transparency, and reducing taxpayer costs;
NOW, THEREFORE, BE IT RESOLVED, that the Town Board of the Town of Mamaroneck
hereby expresses its support for Assembly Bill A.10387 and Senate Bill S.9558, the Local
Government Notice Modernization and Transparency Act; and be it further
RESOLVED, that the Town Board respectfully urges the New York State Legislature and
Governor Kathy Hochul to enact this legislation to provide local governments with greater
flexibility in meeting public notice requirements while maintaining transparency and public
access to information; and be it further
RESOLVED, that the Town Clerk is directed to transmit copies of this Resolution to Governor
Kathy Hochul, Senator Shelley B. Mayer, Assemblymember Steve Otis, the leadership of the
New York State Senate and Assembly, the New York Association of Towns, the New York State
Town Clerks Association, and such other parties as may be appropriate.

Please see the Town Attorney's memo regarding an agreement with the Town of Rye for assessment

Action Requested:
Resolved that the Town Board hereby approves the agreement with the Town of Rye for them
to conduct the defense of an assessed property, and hereby authorizes the Town Administrator
to execute the agreement, any extensions, and any related documents necessary to carry out its
implementation.

The Assessor's parents have filed a grievance challenging the assessment of their
home. For obvious reasons, neither the Assessor, the Board of Assessment Review nor I
should be involved with the adjudication of the grievance.
I attach a proposed agreement which would shift the responsibility of defending
the assessment to the Board of Assessment Review of the Town of Rye. This type of
intermunicipal agreement has been entered into in the past when other Town officials
have filed grievances with respect to their homes. In fact, this has been a two-way street
with the Town's Board of Assessment Review occasionally handling grievances filed in
Scarsdale and Rye by officials of those communities.

AGREEMENT
BETWEEN THE TOWN OF MAMARONECK AND THE TOWN OF RYE WHEREBY
(A)THE TOWN OF RYE'S BOARD OF ASSESSMENT REVIEW WILL ADJUDICATE
A GRIEVANCE CHALLENGING THE ASSESSED VALUATION OF A PROPERTY
IN THE TOWN OF MAMARONECK AND (B) THE ASSESSOR OF THE TOWN OF
RYE WILL REPRESENT THE TOWN OF MAMARONECK IN THAT PROCEEDING.
THIS AGREEMENT(the"Agreement")is made as of the day of July 2026,
by and between the Town of Mamaroneck, a municipal cooperation organized and
existing under the laws of the State of New York, with its principal place of business
located at 740 West Boston Post Road, Mamaroneck, New York, and the Town of Rye, a
municipal corporation organized and existing under the laws of the State of New York,with
its principal place of business located at 222 Grace Church Street, Port Chester, New York.
RECITALS
WHEREAS,General Municipal Law§119-o authorizes a municipality to enter into or
assign a municipal function to another municipality by executing an inter-municipal
agreement with that municipality, and
WHEREAS, Paul and Suzanne Kaider (''Petitioners") are the owners of real property
within the Town of Mamaroneck located at 51 Hillcrest Avenue,Larchmon.t,New York 10538
("Property"), and have filed a complaint challenging the Property's 2026 assessed valuation
("Petitioners' Grievance"), and
WHEREAS, the Petitioners are the parents of the Town of Mamaroneck Assessor ,
and

WHEREAS, the Town Assessor, appointed by the Town Board of the Town of
Mamaroneck, is charged with the responsibility of defending grievances and SCAR
proceedings involving challenges to assessments of real property located within the Town
of Mamaroneck, and
WHEREAS, the Board of Assessment Review of the Town of Mamaroneck hears
grievances filed by owners of real property located within the Town of Mamaroneck, and
WHEREAS,the attorney, appointed by the Town Board of the Town of Mamaroneck,
serves as Counsel to the Town of Mamaroneck and its Assessor and its Board of
Assessment Review and is sometimes called upon to advise, appear and/or defend
grievances and SCAR proceedings involving the Town of Mamaroneck, and
WHEREAS, it would present a conflict of interest or give the appearance of
impropriety for the Counsel to the Town of Mamaroneck, its Assessor and its Board of
Assessment Review to be involved in the adjudication of the Petitioners' Grievance, and
WHEREAS, to avoid any conflict of interest and to avoid the appearance of
impropriety the Town Board of the Town of Mamaroneck has determined that no one
affiliated with the Town of Mamaroneck should be involved with the Petitioners' Grievance,
and
WHEREAS,the Town of Mamaroneck has asked the Town of Rye (a) to authorize the
Board of Assessment Review of the Town of Rye ("Rye BAR") to determine the Petitioners'
Grievance and (b)to authorize the Assessor of the Town of Rye("Rye Assessor") to represent
the Town of Mamaroneck before the Rye BAR in connection with the Petitioners' Grievance

and in any SCAR proceeding that the Petitioners may bring with respect to the Petitioners'
Grievance.
Now therefore intending to be bound,the Town of Mamaroneck and the Town of Rye
agree as follows:
1. The Town Assessor of the Town of Mamaroneck shall refer the Petitioners'Grievance
and SCAR petition, should one be filed, to the Town of Rye. The Rye BAR shall treat
the Petitioners' Grievance as if it were a challenge to the assessed value of real
property located within the Town of Rye.
2. (a) The Town of Mamaroneck grants the Rye Assessor the authority to take any and
all appropriate action to defend the Property's 2026 assessment before the Rye BAR
and in Court in a SCAR proceeding should the petitioners file a SCAR proceeding
challenging the Property's 2026 assessment.
(b)The Town of Mamaroneck also grants the Rye Assessor the authority to negotiate
a resolution of the Petitioners' Grievance and will abide by and/or approve any
settlement that the Rye Assessor may reach with the Petitioners or his/her
representative.
3. (c) If the Rye Assessor deems an appraisal of the Property to be necessary, the Town
of Rye shall order such appraisal and the Town of Mamaroneck shall reimburse the
Town of Rye for the cost of such appraisal. The Town of Mamaroneck also shall pay
the Town of Rye for any and all costs in connection with the Rye Assessor's time, and
for additional appraisals,if needed.

4. This Agreement shall terminate and all obligations that the Rye Assessor must
perform hereunder shall cease if (a) the Petitioners do not file a SCAR.proceeding or
commence a proceeding pursuant to Article 7 of the Real Property Tax Law after the
Rye BAR renders its decision on the Petitioners' Grievance or (b) a SCAR proceeding
is adjudicated by the Supreme Court of the State of New York or (c) the Rye Assessor
negotiates a resolution of the Petitioners' Grievance or (d) the Petitioners commence
either (i) a proceeding pursuant to Article 7 of the Real Property Tax Law after the
Rye BAR renders its decision on the Petitioners' Grievance, (ii) an Article 78
proceeding challenging the determination made by the Supreme Court of the State of
New York in a SCAR proceeding or(iii)any other litigation challenging the Property's
2026 assessment, it being understood that this Agreement does not authorize or
require the Town of Rye, the Rye Assessor, the Rye BAR or any of its other officers,
employees, consultants, representatives, attorneys or volunteers to represent the
Town of Mamaroneck in any litigation other than the Rye Assessor representing the
Town of Mamaroneck in a SCAR proceeding brought by the Petitioner to challenge
the Property's 2026 assessment.
5. The respective representatives of each municipality, who execute this Agreement
on behalf of their respective municipal corporations, are duly authorized and
empowered to execute this Agreement.
6. Any and all notices, communications, payments and demands required under this
Agreement shall be made in writing, addressed as follows, or to such other address
as may be hereafter designated,in writing,by each party hereto:

7. This Agreement contains the entire understanding of the parties who hereby
acknowledge that there has been and are no representations,warranties, covenant or
understandings other than those expressly set forth herein.
8. Neither this Agreement nor any provision hereof, shall be amended or modified, or
deemed amended or modified, except by an agreement in writing duly subscribed
and acknowledged by all parties to this Agreement with the same formality as this
Agreement.
9. This Agreement shall be binding upon, and for the benefit of,the parties, their heirs,
successors and assigns.
10. All matters affecting the interpretation of this Agreement and the rights of the parties
hereto shall be governed by the laws of the State of New York.
IN WITNESS THEREOF, the Town of Mamaroneck and the Town of Rye have agreed
