Trails End Transite Water Main Replacement(H1404) Additional funding is needed to complete the emergency replacement of 600 linear feet of asbestos cement water main on Trails End in Rye that began in 2024. This is a joint capital project as the water main is located in the Rye outside district. As with other outside district capital projects, costs associated with the financing of the project by the member municipalities will be recovered over time through a capital recovery charge to the accounts within the outside district, in this case Rye. The revenues generated by this charge are allocated to the members within WJWW's financial statements and then become part of the income distributions back to the members. A budget transfer is recommended below to fund the Towns share of the additional funding needed from contingency. 2. Ice Rink Skate Room Reconstruction (H7224) The skate rental shop in the ice rink is inadequately support by the asphalt pavement that has experienced settlement as the site is on a former landfill. New micro plates and grade beams will provide additional foundation support to prevent further settlement. The new skate shop will have a slightly modified layout with all new walls, flooring, doors, lighting and electrical improvements. The lowest responsive, responsible bid proposal and the additional engineering fees exceed the budgeted funding for this project. An additional $292,0000 is required for a total project cost of$501,000. A budget amendment to transfer funds from the General Fund balance is recommended below to complete this project. The project scope consists of installation of a new seasonal tension shade canopy to cover playground structures during the summer months. Installation of(7)new tree plantings within a soil cell system with root barriers and new concrete sidewalk are also included in the proposed site work. Bid documents were developed following the recommendations of the completed shade evaluation in 2025. On May 26, 2026, two (2)bid proposals were received as summarized on the attached bid tabulation table. The lowest responsive bid proposal was received from "Scape-Tech Landscape Technologies, Inc." at the submitted base bid price of$348,000.00. References provided by Scape Tech shared positive feedback on their completed projects that include municipal and institutional infrastructure improvements. A detailed schedule of values for the submitted bid pricing was also provided by the Contractor and reviewed by the Engineering Deparlment Funding for the Memorial Park Playground Shade Enhancement project was budgeted as part of capital project H7131. The bids received exceed the amount allocated in the Town Budget for this project. Provided costs for all project components exceeded those recommended the most recent construction estimate obtained in April 2026. The bid advertisement window and limited contractor interest have been identified as likely contributing factors to the higher-than-expected bid pricing. The Engineering Department recommends that the submitted bid proposals may be rejected by the Town Board to allow for consideration of value engineering measures and additional phasing prior to advertising new bid documents . The lowest responsive, responsible bid proposal was received from "Lisi Contracting, Inc." at the submitted base bid price of$459,000.00. References provided by Lisi shared positive feedback on their completed projects that include commercial and institutional facility renovations. Lisi Contracting recently completed the Town's Senior Center Renovation project in 2025. Lisi has confirmed their understanding of the required specifications and schedule for the Skate Shop project should the Town elect to move forward Funding for the Skate Shop Reconstruction project was budgeted as part of capital project H7224. The bids received exceed the amount allocated in the Town Budget for this project. Detailed construction pricing provided by the prospective bidders suggests that the submitted bids are reflective of the current construction market. The Town Board would need to consider a capital budget transfer of$292,000 to fund the construction, including construction phase soft costs for the engineer of record. The requested authorization would allow the Town to enter into a four (4) year Venue Agreement with LiveBarn, Inc., with the Town receiving a revenue share of forty-percent (40%) of profits associated with new subscribers each year who sign up using a Town of Mamaroneck specific code. At the end of the four year Venue Agreement, the Town shall have an option to extend the same for an additional two years. Evans, Interim Assistant Town Administrator CC: Jill Fisher, Superintendent of Recreation; James Druker, Chair, Recreation Commission Re: Venue Agreement—Live Streaming at Hommocks Park Ice Rink Date: June 12, 2026 The Town Board received a request from the local hockey organization to install the LiveBarn, Inc. camera system at the Hommocks Park Ice Rink to live stream events. You recommended that it would be appropriate for staff to do a review and analysis of available options. The Town evaluated six(6) companies.All six(6) had the ability to live stream, record, provide game analysis when requested, automatically track action on the ice, and generate revenue for the rink. Four(4) companies submitted proposals for review. Town staff and the local hockey organization representatives participated in a series of presentations from the four(4) companies, comparing quotes, revenue opportunities, and vetting individual products. Revenue is based on the number of predicted, new users who sign-up for subscriptions and/or access events. Return-on-investment(ROI)was calculated off strict revenue assumptions and break-even periods. Every company provided similar products. All but one company showed positive revenues for the Town in year one.All showed strong ROI for the Town in year two. Two companies offered products with no upfront costs, making pricing more competitive for a standard system. In the end, the hockey organization requested LiveBarn, Inc. as they believe it provided the greatest benefit to the majority end-user of the camera system. LiveBarn's proposal provided the third highest anticipated ROI in year one. However, as noted below, staff were able to re-negotiate the terms of agreement to help protect the Town's interests. LiveBarn's camera system contains no upfront costs, is maintained as well as warrantied wholly by LiveBarn, and is used at surrounding rinks. This allows for a wider net of potential users as the subscription will encourage local residents to join in order to access the LiveBarn network. Although LiveBarn's standard contract term is six(6)years and thirty percent(30%) revenue share to the Town, we were able to negotiate more favorable terms, such as four(4)years and forty-percent (40%) revenue each year for our residents. Page 39 of 94 L veB;,.-n LiveBarn—United States —Venue Agreement Agreement Initiated Date:06/17/2026 BETWEEN:LIVEBARN INC.("LiveBarn")and AGREEMENT COMPANY:Town of Mamaroneck WHEREAS LiveBarn Inc.and Town of Mamaroneck wish to enter into this Agreement pursuant to which LiveBarn will install at Town of Mamaroneck's Ice Surface(s)described in the attached Schedule"A"(each being an Ice Surface)a fully automated sports broadcasting system for the delivery of live and/or on demand video and audio streaming to internet connected devices such as smartphones,computers or tablets(the"Automated Online Broadcast Service"); NOW,THEREFORE,in consideration for the mutual promises set out below,and for other good and valuable consideration acknowledged by the parties,LiveBarn and Town of Mamaroneck agree as follows: 1 AUTOMATED ONLINE BROADCAST SERVICE 1.1 LiveBarn shall,at its own expense,install and maintain all hardware and software required for the operation and maintenance of the Automated Online Broadcast Service relating to each Ice Surface.The initial installation will occur within six months from the date of this Agreement(such six-month date being herein referred to as the"Latest Install Date");it will be scheduled with the written(via email)approval of Town of Mamaroneck,and concurrently with the installation,LiveBarn will specifically explain to Town of Mamaroneck representative on-site exactly where any hardware or other components will be installed.Installation will then only proceed with the consent of Town of Mamaroneck,which consent will be deemed upon LiveBarn undertaking its installation.The initial installation for each Ice Surface shall include one(1)computer,one(1)router,between one(1)and three(3)power converters,and up to two (2)cameras to be placed on the side walls or on the beams or columns extending from the walls.The internet connection and computer shall be located adjacent to the respective Ice Surface in a secure location with electrical power outlets. The exact selection of camera locations will be made after consideration for optimal broadcast quality and avoidance of any obstruction.Any modification to the installation will only be undertaken with the permission and process with Town of Mamaroneck as outlined above.Town of Mamaroneck shall assume the cost of electricity for the components installed in connection with this Agreement. 1.2 LiveBarn will,at its own expense,procure,install,and maintain an internet line and modem at the required bandwidth to support Automated Online Broadcast Service for the 1 Ice Surface(s)described in the attached Schedule A. 1.3 In addition,LiveBarn shall,at its own expense and upon Town of Mamaroneck's request,install 1 TV(s)and connected Ad Management box which will display a combination of LiveBarn highlights and a live feed,as well as additional LiveBarn information.Live Barn acknowledges marketing shall be done by the Town of Mamaroneck in such a way as to not violate state,county,or town requirements. 1.4 Title to all hardware,software,and wiring shall remain in the name of LiveBarn. 1.5 Revenue generated from the Automated Online Broadcast Service will be the property of LiveBarn;however, LiveBarn will supply Town of Mamaroneck with a unique code(a"Promo Code")to enable the Town of Mamaroneck to introduce the LiveBarn platform to potential members for which LiveBarn will pay Town of Mamaroneck forty percent (40%)of the Revenue generated from these memberships over the full lifetime of these memberships,during the Term of this Agreement.Such payment is referred to herein as the"Revenue Share Payment.""Revenue"means gross revenue collected by LiveBarn during the Term for live and on-demand streaming subscriptions,excluding credit-card processing fees and any customer refunds processed and paid out by LiveBarn.The Promo Code will enable Town of Mamaroneck to provide LiveBarn memberships at a ten percent(10%)discount.The Promo Code will track the memberships generated by Town of Mamaroneck on a quarterly basis.The Revenue Share Payments to Town of Mamaroneck will apply only to Revenue collected from LiveBarn memberships originated with the Promo Code allocated to Town of Mamaroneck.LiveBarn will pay Town of Mamaroneck its revenue share within thirty(30)days of the end of each calendar quarter together with a corresponding revenue statement.Town of Mamaroneck will provide a staff person to communicate with and receive LiveBarn's various local marketing initiatives(including social media)as described below. 1.6 All content broadcast using the Automated Online Broadcast Service,including the video and audio relating to all sports and recreational activities occurring on each Ice Surface identified in Schedule A(collectively,the"Content"), will be made available to LiveBarn's subscribers on a monthly subscription basis,subject to Sections 1.8 and 1.9 below. Page 40 of 94 LveE‘.01 .i LiveBarn will determine the pricing for its offerings of the Automated Online Broadcast Service.LiveBarn may provide a free trial at its discretion. 1.7 LiveBarn shall be the exclusive owner of all rights in and to the Content and shall have the exclusive right to Streaming the Content for all purposes,and in any manner it determines,in its sole discretion,including by providing its streaming signal to national broadcasters and digital media distributors.Without limiting the foregoing,the Town of Mamaroneck acknowledges that online distributions of the Content from each Ice Surface will be made available to all subscribers of the Automated Online Broadcast Service,subject to Sections 1.8 and 1.9 below. 1.8 LiveBarn will provide Town of Mamaroneck with an exclusive online administrative password to enable Town of Mamaroneck in its discretion to"blackout"any particular date or time periods from being broadcast on any selected Ice Surface(the"Blackout Restrictions"). 1.9 If Town of Mamaroneck,or third-party,requests to restrict viewer access(such as a practice)at Venue for privacy purposes,LiveBarn will provide Town of Mamaroneck with the ability to restrict viewer access to such event to a pre-selected potential audience with the scheduling of a Privacy Session and 4-digit Privacy Code. 1.10 During the Term(as defined below),LiveBarn will provide Town of Mamaroneck with 3 complimentary LiveBarn accounts for each Ice Surface. 1.11 LiveBarn will indemnify and hold Town of Mamaroneck harmless for any injuries sustained by LiveBarn employees,contractors,agents,or licensees or by members of the general public or employees,contractors,agents, licensees or volunteers of the Town of Mamaroneck in connection with their work.LiveBarn will indemnify and hold Town of Mamaroneck harmless from any claim made by subscribers against Town of Mamaroneck. 1.12 LiveBarn represents that in its subscription agreement it will make clear to its subscribers that the Town of Mamaroneck has no responsibility for providing services to subscribers and that any dispute arising under the subscription is solely a dispute between LiveBarn and the subscriber. 2 TERM AND TERMINATION 2.1 The term of this Agreement commences on the date hereof and continues until the 4-year anniversary of the Latest Install Date(the"Term"). The term will automatically renew for successive terms of 2 years(each 2-year,a "Renewal Period"),unless either party notifies the other in writing of its intent to discontinue this Agreement at least ninety(90)days before the expiration of the then current term. LiveBarn shall notify the Town of Mamaroneck at least one hundred and twenty(120)days before the expiration of the then current term and each successive term thereafter that the contract shall soon expire. At which time,the Town Board of Mamaroneck shall consider renewal in line with Town of Mamaroneck policies. 2.2 At the end of the Term or earlier termination of this Agreement,LiveBarn shall at its expense immediately remove the Automated Broadcast Service any and all parts or components thereof,including but not limited to any hardware,software,interne bandwidth,and equipment,from each Ice Surface at Town of Mamaroneck's venue(s). 2.3 Town of Mamaroneck shall have the right to terminate this Agreement if LiveBarn materially breaches this Agreement and the material breach is not cured to within forty(40)days after Town of Mamaroneck provides written notice which outlines such breach to LiveBarn. 3 EXCLUSIVITY 3.1 In consideration for the investment of time and expense incurred by LiveBarn to fulfill its obligations under this Agreement,the receipt and sufficiency of which is hereby acknowledged,the Town of Mamaroneck hereby declares and agrees that during the Term,including all Renewal Periods,and notwithstanding the termination of this Agreement by the Town of Mamaroneck,LiveBarn shall have the absolute exclusivity to stream,broadcast,or otherwise distribute Content from each of the Ice Surface using an unmanned operated camera.For clarity,a device is an"unmanned operated camera"if it either(i)does not require a human operator to capture footage,or(ii)uses software to automatically track the action or follow the play at an event and thereby capture,record,or broadcast footage in any automated fashion.The exclusivity given to LiveBarn shall not forbid persons from using their own equipment,operated by hand or remotely,to capture action on the ice surface for their own personal,non-commercial use.For greater certainty,the said exclusivity shall apply for the entire Term,including any applicable Renewal Period. 2 Page 41 of 94 LiveBw. n 3.2 Town of Mamaroneck hereby declares and acknowledges that the foregoing exclusivity, including the term thereof, is reasonable in the circumstances, and that LiveBarn is relying upon such exclusivity in connection with the provision of the Automated Online Broadcast Service and that LiveBarn would not have entered into this Agreement without such exclusivity. 3.3 Town of Mamaroneck acknowledges and agrees that,in the event of a breach or threatened breach by it of the provisions of Section 3.1 above,LiveBarn will have no adequate remedy in money or damages and,accordingly,shall be entitled to an injunction in a court of competent jurisdiction against such breach.However,no specification in this Agreement of any specific legal or equitable remedy shall be construed as a waiver or prohibition against any other legal or equitable remedies in the event of a breach of any of the provisions of this Agreement. 4 SUPPLY OF AUTOMATED ONLINE BROADCAST SERVICE 4.1 LiveBarn will use reasonable skill and care to make the Automated Online Broadcast Service available throughout the Term.Notwithstanding the foregoing,LiveBarn shall have no responsibility,liability,or obligation whatsoever to Town of Mamaroneck,or any other third party,for any interruptions of the Automated Online Broadcast Service. 4.2 LiveBarn may,without any liability to Town of Mamaroneck,suspend the supply of all or part of the Automated Online Broadcast Service upon giving Town of Mamaroneck notice.This would occur if the LiveBarn equipment is repeatedly damaged or LiveBarn is unable to obtain a sufficient internet signal to the venue.If the supply of all or part of the Automated Online Broadcast Service is suspended and the suspension is not cured to within forty(40) days of notice,the Town of Mamaroneck shall be released from this Agreement. 4.3 Town of Mamaroneck agrees to notify LiveBarn by email to venuesupport@livebarn.com as soon as it becomes aware of any interruption or malfunction with the Automated Online Broadcast Service.Town of Mamaroneck will not be responsible for damage or malfunction of any equipment and LiveBarn will repair or replace at its cost any malfunctioning components which is required.Any required service visit by LiveBarn will be scheduled with the written approval(including email)of Town of Mamaroneck.LiveBarn will specifically explain the repair,replacement or service work to Town of Mamaroneck representative onsite,and this work will only proceed with the consent of Town of Mamaroneck which consent will be deemed upon LiveBarn undertaking its work. 4.4 From time to time there will be on site adjustments requiring assistance from a technically proficient person at the Town of Mamaroneck's venue(s)(each,a"Venue").The Town of Mamaroneck retains an Information Technology (IT)Department capable of providing limited technical assistance.The Town of Mamaroneck will be responsible to supply such person when necessary but will not be required to pay for an outside"technically proficient person"if one is necessary to complete the work. 5 NOTICE TO PUBLIC 5.1 Town of Mamaroneck agrees to post a notice at the entrance to its Venue and inside each Ice Surface,advising the public that the Venue is monitored by video cameras for security,safety and commercial purposes,and participants waive any claim relating to the capture or public transmission of his/her participation while at the venue.LiveBarn will supply these notices during its initial installation and reserves the right to modify the language contained therein from time to time,in its sole discretion,to satisfy its legal obligations.At no time shall LiveBarn post any advertisement, notice,or similar marketing soliciting subscriptions or promotions on behalf of the Town of Mamaroneck or any of the Venue users.All marketing and/or notifications shall be approved by the Town Administrator or their designee prior to dissemination. 5.2 In all agreements with parties for usage of the Venue,Town of Mamaroneck will include provisions both disclosing the existence of live broadcasting at the Venue and requiring such parties to notify all their users of the Venue of the same. 6 MARKETING 6.1 Town of Mamaroneck agrees to promote access to live video streaming with a subscription service through all available avenues discussed in this section,understanding that it is in Town of Mamaroneck's best interest to market access to its customers and patrons.Town of Mamaroneck understands that failure to comply and make reasonable efforts to increase subscribers will result in lower revenue share payments to Town of Mamaroneck. 3 Page 42 of 94 Lven1 .1 6.2 Town of Mamaroneck will provide a contact person who will be responsible for interacting with LiveBarn about the various marketing and promotion initiatives available for subscribers.Upon installation of LiveBarn,Town of Mamaroneck will make said contact available for a thirty(30)minute video web session,serving as an orientation into all of the best practices for introducing and promoting live streaming services.This person will aid implementing promotion and marketing initiatives approved by the Town of Mamaroneck to Venue's customers and patrons. 6.3 Town of Mamaroneck will place a LiveBarn banner or link on its website with a backlink where possible.Town of Mamaroneck will do the same with any organizations,associations,clubs and affiliates that it owns that use its facility. 6.4 Town of Mamaroneck will announce a live stream subscription service installation on all its social media networks.Town of Mamaroneck will also like and follow LiveBarn on said social media networks as well as share content when tagged,acknowledging that this will only be used when the Venue is directly involved with any video shared.Town of Mamaroneck will do the same with any organizations,associations,clubs,affiliates that it owns that use its facility. This shall be done only as allowable by law,statute,ordinance or other authority of the local,county,state, and/or federal government. 7 GENERAL 7.1 Any amendment to this Agreement must be in writing via an electronic amendment or addendum and signed by both parties. 7.2 Although LiveBarn will remain liable for its obligations hereunder,LiveBarn shall be permitted to use agents and subcontracts to perform its installation,maintenance and repair obligations hereunder. 7.3 The waiver of a breach of any provision of this Agreement will not operate or be interpreted as a waiver of any other or subsequent breach. 7.4 If any part of this Agreement is held to be invalid or unenforceable,that part will be severed and the rest of the Agreement will remain in force.Headings herein are for reference only. 7.5 LiveBarn hereby represents that it maintains$2,000,000 of General Liability Insurance,$2,000,000 in Media Coverage Insurance and$2,000,000 in Cyber Insurance,and that upon execution of this Agreement,Town of Mamaroneck will become a Certificate Holder,with its name and location added as additional insured. 7.6 All notices required under this Agreement must be given in writing,by the Contract Signatory,to LiveBarn at contracts@livebarn.com.In the event that the Contract Signatory is no longer associated with Town of Mamaroneck,a proxy representative may provide reasonable explanation of the transfer of authority and give said notice in writing to LiveBarn at contracts@livebarn.com. 7.7 This Agreement describes the entire understanding and agreement of the parties and supersedes all oral and written agreements or understandings between them related to its subject matter. 7.8 This Agreement may be executed in one or more counterparts,each of which will be deemed an original,and all of which taken together will be deemed to be one instrument. 7.9 This Agreement is governed by and will be interpreted under the laws of the State of New York.Any disputes shall be heard in the courts located in the State of New York.Each party agrees not to assert,in any such dispute,that it is not subject personally to the jurisdiction of the above-named courts,that its property is exempt or immune from attachment or execution,or that any such Action brought in one of the above-named courts should be dismissed on grounds of forum non conveniens. 7.10 Except for the requirements imposed upon the Town of Mamaroneck by the Freedom of Information Law,each party shall keep the terms contained herein confidential and neither it nor its directors,officers,employees,agents or representatives,where applicable,shall disclose the terms contained herein without the express written consent of the other party,unless such disclosure is required by applicable law. 7.11 Town of Mamaroneck will not be liable to LiveBarn by reason of inconvenience or annoyance for any damages or lost revenue due to power loss or shortage,mechanical breakdown,structural damage,roof collapse,fire,flood, renovations,improvements,alterations,or closure of the facility by it or any regulatory agency. 4 Page 43 of 94 Live Li. i 7.12 LiveBarn consents to Town of Mamaroneck promoting in its marketing materials that LiveBarn supplies it with the Automated Online Broadcast System. The revenues generated by this charge are allocated to the members within WJWW's financial statements and then become part of the income distributions back to the members. Ice Rink Skate Room Reconstruction (H7224) The skate rental shop in the ice rink is inadequately support by the asphalt pavement that has experienced settlement as the site is on a former landfill. New micro plates and grade beams will provide additional foundation support to prevent further settlement. The new skate shop will have a slightly modified layout with all new walls, flooring, doors, lighting and electrical improvements. The lowest responsive, responsible bid proposal and the additional engineering fees exceed the budgeted funding for this project. An additional $292,0000 is required for a total project cost of$501,000. A budget amendment to transfer funds from the General Fund balance is recommended below to complete this project. Note that the County requires an interest in the property at least for the life of the bonds, and projects must include an operation and maintenance plan to ensure long term performance. If easements will be required on private property, establishing the interest of property owners in granting such easements must be included as a task associated with the engineering design and will be required prior to project implementation funding. 3.5 Describe any environmental constraints or issues. If an environmental review has been performed, including any review pursuant to SEQR, attach documentation. At the end of the four year Venue Agreement, the Town shall have an option to extend the same for an additional two years. Evans, Interim Assistant Town Administrator CC: Jill Fisher, Superintendent of Recreation; James Druker, Chair, Recreation Commission Re: Venue Agreement—Live Streaming at Hommocks Park Ice Rink Date: June 12, 2026 The Town Board received a request from the local hockey organization to install the LiveBarn, Inc. camera system at the Hommocks Park Ice Rink to live stream events. You recommended that it would be appropriate for staff to do a review and analysis of available options. The Town evaluated six(6) companies.All six(6) had the ability to live stream, record, provide game analysis when requested, automatically track action on the ice, and generate revenue for the rink. Four(4) companies submitted proposals for review. Town staff and the local hockey organization representatives participated in a series of presentations from the four(4) companies, comparing quotes, revenue opportunities, and vetting individual products. Revenue is based on the number of predicted, new users who sign-up for subscriptions and/or access events. Return-on-investment(ROI)was calculated off strict revenue assumptions and break-even periods. Every company provided similar products. All but one company showed positive revenues for the Town in year one.All showed strong ROI for the Town in year two. Two companies offered products with no upfront costs, making pricing more competitive for a standard system. In the end, the hockey organization requested LiveBarn, Inc. as they believe it provided the greatest benefit to the majority end-user of the camera system. LiveBarn's proposal provided the third highest anticipated ROI in year one. However, as noted below, staff were able to re-negotiate the terms of agreement to help protect the Town's interests. LiveBarn's camera system contains no upfront costs, is maintained as well as warrantied wholly by LiveBarn, and is used at surrounding rinks. This allows for a wider net of potential users as the subscription will encourage local residents to join in order to access the LiveBarn network. Although LiveBarn's standard contract term is six(6)years and thirty percent(30%) revenue share to the Town, we were able to negotiate more favorable terms, such as four(4)years and forty-percent (40%) revenue each year for our residents. Page 88 of 94 L veB;,.-n LiveBarn—United States —Venue Agreement Agreement Initiated Date:06/17/2026 BETWEEN:LIVEBARN INC.("LiveBarn")and AGREEMENT COMPANY:Town of Mamaroneck WHEREAS LiveBarn Inc.and Town of Mamaroneck wish to enter into this Agreement pursuant to which LiveBarn will install at Town of Mamaroneck's Ice Surface(s)described in the attached Schedule"A"(each being an Ice Surface)a fully automated sports broadcasting system for the delivery of live and/or on demand video and audio streaming to internet connected devices such as smartphones,computers or tablets(the"Automated Online Broadcast Service"); NOW,THEREFORE,in consideration for the mutual promises set out below,and for other good and valuable consideration acknowledged by the parties,LiveBarn and Town of Mamaroneck agree as follows: 1 AUTOMATED ONLINE BROADCAST SERVICE 1.1 LiveBarn shall,at its own expense,install and maintain all hardware and software required for the operation and maintenance of the Automated Online Broadcast Service relating to each Ice Surface.The initial installation will occur within six months from the date of this Agreement(such six-month date being herein referred to as the"Latest Install Date");it will be scheduled with the written(via email)approval of Town of Mamaroneck,and concurrently with the installation,LiveBarn will specifically explain to Town of Mamaroneck representative on-site exactly where any hardware or other components will be installed.Installation will then only proceed with the consent of Town of Mamaroneck,which consent will be deemed upon LiveBarn undertaking its installation.The initial installation for each Ice Surface shall include one(1)computer,one(1)router,between one(1)and three(3)power converters,and up to two (2)cameras to be placed on the side walls or on the beams or columns extending from the walls.The internet connection and computer shall be located adjacent to the respective Ice Surface in a secure location with electrical power outlets. The exact selection of camera locations will be made after consideration for optimal broadcast quality and avoidance of any obstruction.Any modification to the installation will only be undertaken with the permission and process with Town of Mamaroneck as outlined above.Town of Mamaroneck shall assume the cost of electricity for the components installed in connection with this Agreement. 1.2 LiveBarn will,at its own expense,procure,install,and maintain an internet line and modem at the required bandwidth to support Automated Online Broadcast Service for the 1 Ice Surface(s)described in the attached Schedule A. 1.3 In addition,LiveBarn shall,at its own expense and upon Town of Mamaroneck's request,install 1 TV(s)and connected Ad Management box which will display a combination of LiveBarn highlights and a live feed,as well as additional LiveBarn information.Live Barn acknowledges marketing shall be done by the Town of Mamaroneck in such a way as to not violate state,county,or town requirements. 1.4 Title to all hardware,software,and wiring shall remain in the name of LiveBarn. 1.5 Revenue generated from the Automated Online Broadcast Service will be the property of LiveBarn;however, LiveBarn will supply Town of Mamaroneck with a unique code(a"Promo Code")to enable the Town of Mamaroneck to introduce the LiveBarn platform to potential members for which LiveBarn will pay Town of Mamaroneck forty percent (40%)of the Revenue generated from these memberships over the full lifetime of these memberships,during the Term of this Agreement.Such payment is referred to herein as the"Revenue Share Payment.""Revenue"means gross revenue collected by LiveBarn during the Term for live and on-demand streaming subscriptions,excluding credit-card processing fees and any customer refunds processed and paid out by LiveBarn.The Promo Code will enable Town of Mamaroneck to provide LiveBarn memberships at a ten percent(10%)discount.The Promo Code will track the memberships generated by Town of Mamaroneck on a quarterly basis.The Revenue Share Payments to Town of Mamaroneck will apply only to Revenue collected from LiveBarn memberships originated with the Promo Code allocated to Town of Mamaroneck.LiveBarn will pay Town of Mamaroneck its revenue share within thirty(30)days of the end of each calendar quarter together with a corresponding revenue statement.Town of Mamaroneck will provide a staff person to communicate with and receive LiveBarn's various local marketing initiatives(including social media)as described below. 1.6 All content broadcast using the Automated Online Broadcast Service,including the video and audio relating to all sports and recreational activities occurring on each Ice Surface identified in Schedule A(collectively,the"Content"), will be made available to LiveBarn's subscribers on a monthly subscription basis,subject to Sections 1.8 and 1.9 below. Page 89 of 94 LveE‘.01 .i LiveBarn will determine the pricing for its offerings of the Automated Online Broadcast Service.LiveBarn may provide a free trial at its discretion. 1.7 LiveBarn shall be the exclusive owner of all rights in and to the Content and shall have the exclusive right to Streaming the Content for all purposes,and in any manner it determines,in its sole discretion,including by providing its streaming signal to national broadcasters and digital media distributors.Without limiting the foregoing,the Town of Mamaroneck acknowledges that online distributions of the Content from each Ice Surface will be made available to all subscribers of the Automated Online Broadcast Service,subject to Sections 1.8 and 1.9 below. 1.8 LiveBarn will provide Town of Mamaroneck with an exclusive online administrative password to enable Town of Mamaroneck in its discretion to"blackout"any particular date or time periods from being broadcast on any selected Ice Surface(the"Blackout Restrictions"). 1.9 If Town of Mamaroneck,or third-party,requests to restrict viewer access(such as a practice)at Venue for privacy purposes,LiveBarn will provide Town of Mamaroneck with the ability to restrict viewer access to such event to a pre-selected potential audience with the scheduling of a Privacy Session and 4-digit Privacy Code. 1.10 During the Term(as defined below),LiveBarn will provide Town of Mamaroneck with 3 complimentary LiveBarn accounts for each Ice Surface. 1.11 LiveBarn will indemnify and hold Town of Mamaroneck harmless for any injuries sustained by LiveBarn employees,contractors,agents,or licensees or by members of the general public or employees,contractors,agents, licensees or volunteers of the Town of Mamaroneck in connection with their work.LiveBarn will indemnify and hold Town of Mamaroneck harmless from any claim made by subscribers against Town of Mamaroneck. 1.12 LiveBarn represents that in its subscription agreement it will make clear to its subscribers that the Town of Mamaroneck has no responsibility for providing services to subscribers and that any dispute arising under the subscription is solely a dispute between LiveBarn and the subscriber. 2 TERM AND TERMINATION 2.1 The term of this Agreement commences on the date hereof and continues until the 4-year anniversary of the Latest Install Date(the"Term"). The term will automatically renew for successive terms of 2 years(each 2-year,a "Renewal Period"),unless either party notifies the other in writing of its intent to discontinue this Agreement at least ninety(90)days before the expiration of the then current term. LiveBarn shall notify the Town of Mamaroneck at least one hundred and twenty(120)days before the expiration of the then current term and each successive term thereafter that the contract shall soon expire. At which time,the Town Board of Mamaroneck shall consider renewal in line with Town of Mamaroneck policies. 2.2 At the end of the Term or earlier termination of this Agreement,LiveBarn shall at its expense immediately remove the Automated Broadcast Service any and all parts or components thereof,including but not limited to any hardware,software,interne bandwidth,and equipment,from each Ice Surface at Town of Mamaroneck's venue(s). 2.3 Town of Mamaroneck shall have the right to terminate this Agreement if LiveBarn materially breaches this Agreement and the material breach is not cured to within forty(40)days after Town of Mamaroneck provides written notice which outlines such breach to LiveBarn. 3 EXCLUSIVITY 3.1 In consideration for the investment of time and expense incurred by LiveBarn to fulfill its obligations under this Agreement,the receipt and sufficiency of which is hereby acknowledged,the Town of Mamaroneck hereby declares and agrees that during the Term,including all Renewal Periods,and notwithstanding the termination of this Agreement by the Town of Mamaroneck,LiveBarn shall have the absolute exclusivity to stream,broadcast,or otherwise distribute Content from each of the Ice Surface using an unmanned operated camera.For clarity,a device is an"unmanned operated camera"if it either(i)does not require a human operator to capture footage,or(ii)uses software to automatically track the action or follow the play at an event and thereby capture,record,or broadcast footage in any automated fashion.The exclusivity given to LiveBarn shall not forbid persons from using their own equipment,operated by hand or remotely,to capture action on the ice surface for their own personal,non-commercial use.For greater certainty,the said exclusivity shall apply for the entire Term,including any applicable Renewal Period. 2 Page 90 of 94 LiveBw. n 3.2 Town of Mamaroneck hereby declares and acknowledges that the foregoing exclusivity, including the term thereof, is reasonable in the circumstances, and that LiveBarn is relying upon such exclusivity in connection with the provision of the Automated Online Broadcast Service and that LiveBarn would not have entered into this Agreement without such exclusivity. 3.3 Town of Mamaroneck acknowledges and agrees that,in the event of a breach or threatened breach by it of the provisions of Section 3.1 above,LiveBarn will have no adequate remedy in money or damages and,accordingly,shall be entitled to an injunction in a court of competent jurisdiction against such breach.However,no specification in this Agreement of any specific legal or equitable remedy shall be construed as a waiver or prohibition against any other legal or equitable remedies in the event of a breach of any of the provisions of this Agreement. 4 SUPPLY OF AUTOMATED ONLINE BROADCAST SERVICE 4.1 LiveBarn will use reasonable skill and care to make the Automated Online Broadcast Service available throughout the Term.Notwithstanding the foregoing,LiveBarn shall have no responsibility,liability,or obligation whatsoever to Town of Mamaroneck,or any other third party,for any interruptions of the Automated Online Broadcast Service. 4.2 LiveBarn may,without any liability to Town of Mamaroneck,suspend the supply of all or part of the Automated Online Broadcast Service upon giving Town of Mamaroneck notice.This would occur if the LiveBarn equipment is repeatedly damaged or LiveBarn is unable to obtain a sufficient internet signal to the venue.If the supply of all or part of the Automated Online Broadcast Service is suspended and the suspension is not cured to within forty(40) days of notice,the Town of Mamaroneck shall be released from this Agreement. 4.3 Town of Mamaroneck agrees to notify LiveBarn by email to venuesupport@livebarn.com as soon as it becomes aware of any interruption or malfunction with the Automated Online Broadcast Service.Town of Mamaroneck will not be responsible for damage or malfunction of any equipment and LiveBarn will repair or replace at its cost any malfunctioning components which is required.Any required service visit by LiveBarn will be scheduled with the written approval(including email)of Town of Mamaroneck.LiveBarn will specifically explain the repair,replacement or service work to Town of Mamaroneck representative onsite,and this work will only proceed with the consent of Town of Mamaroneck which consent will be deemed upon LiveBarn undertaking its work. 4.4 From time to time there will be on site adjustments requiring assistance from a technically proficient person at the Town of Mamaroneck's venue(s)(each,a"Venue").The Town of Mamaroneck retains an Information Technology (IT)Department capable of providing limited technical assistance.The Town of Mamaroneck will be responsible to supply such person when necessary but will not be required to pay for an outside"technically proficient person"if one is necessary to complete the work. 5 NOTICE TO PUBLIC 5.1 Town of Mamaroneck agrees to post a notice at the entrance to its Venue and inside each Ice Surface,advising the public that the Venue is monitored by video cameras for security,safety and commercial purposes,and participants waive any claim relating to the capture or public transmission of his/her participation while at the venue.LiveBarn will supply these notices during its initial installation and reserves the right to modify the language contained therein from time to time,in its sole discretion,to satisfy its legal obligations.At no time shall LiveBarn post any advertisement, notice,or similar marketing soliciting subscriptions or promotions on behalf of the Town of Mamaroneck or any of the Venue users.All marketing and/or notifications shall be approved by the Town Administrator or their designee prior to dissemination. 5.2 In all agreements with parties for usage of the Venue,Town of Mamaroneck will include provisions both disclosing the existence of live broadcasting at the Venue and requiring such parties to notify all their users of the Venue of the same. 6 MARKETING 6.1 Town of Mamaroneck agrees to promote access to live video streaming with a subscription service through all available avenues discussed in this section,understanding that it is in Town of Mamaroneck's best interest to market access to its customers and patrons.Town of Mamaroneck understands that failure to comply and make reasonable efforts to increase subscribers will result in lower revenue share payments to Town of Mamaroneck. 3 Page 91 of 94 Lven1 .1 6.2 Town of Mamaroneck will provide a contact person who will be responsible for interacting with LiveBarn about the various marketing and promotion initiatives available for subscribers.Upon installation of LiveBarn,Town of Mamaroneck will make said contact available for a thirty(30)minute video web session,serving as an orientation into all of the best practices for introducing and promoting live streaming services.This person will aid implementing promotion and marketing initiatives approved by the Town of Mamaroneck to Venue's customers and patrons. 6.3 Town of Mamaroneck will place a LiveBarn banner or link on its website with a backlink where possible.Town of Mamaroneck will do the same with any organizations,associations,clubs and affiliates that it owns that use its facility. 6.4 Town of Mamaroneck will announce a live stream subscription service installation on all its social media networks.Town of Mamaroneck will also like and follow LiveBarn on said social media networks as well as share content when tagged,acknowledging that this will only be used when the Venue is directly involved with any video shared.Town of Mamaroneck will do the same with any organizations,associations,clubs,affiliates that it owns that use its facility. This shall be done only as allowable by law,statute,ordinance or other authority of the local,county,state, and/or federal government. 7 GENERAL 7.1 Any amendment to this Agreement must be in writing via an electronic amendment or addendum and signed by both parties. 7.2 Although LiveBarn will remain liable for its obligations hereunder,LiveBarn shall be permitted to use agents and subcontracts to perform its installation,maintenance and repair obligations hereunder. 7.3 The waiver of a breach of any provision of this Agreement will not operate or be interpreted as a waiver of any other or subsequent breach. 7.4 If any part of this Agreement is held to be invalid or unenforceable,that part will be severed and the rest of the Agreement will remain in force.Headings herein are for reference only. 7.5 LiveBarn hereby represents that it maintains$2,000,000 of General Liability Insurance,$2,000,000 in Media Coverage Insurance and$2,000,000 in Cyber Insurance,and that upon execution of this Agreement,Town of Mamaroneck will become a Certificate Holder,with its name and location added as additional insured. 7.6 All notices required under this Agreement must be given in writing,by the Contract Signatory,to LiveBarn at contracts@livebarn.com.In the event that the Contract Signatory is no longer associated with Town of Mamaroneck,a proxy representative may provide reasonable explanation of the transfer of authority and give said notice in writing to LiveBarn at contracts@livebarn.com. 7.7 This Agreement describes the entire understanding and agreement of the parties and supersedes all oral and written agreements or understandings between them related to its subject matter. 7.8 This Agreement may be executed in one or more counterparts,each of which will be deemed an original,and all of which taken together will be deemed to be one instrument. 7.9 This Agreement is governed by and will be interpreted under the laws of the State of New York.Any disputes shall be heard in the courts located in the State of New York.Each party agrees not to assert,in any such dispute,that it is not subject personally to the jurisdiction of the above-named courts,that its property is exempt or immune from attachment or execution,or that any such Action brought in one of the above-named courts should be dismissed on grounds of forum non conveniens. 7.10 Except for the requirements imposed upon the Town of Mamaroneck by the Freedom of Information Law,each party shall keep the terms contained herein confidential and neither it nor its directors,officers,employees,agents or representatives,where applicable,shall disclose the terms contained herein without the express written consent of the other party,unless such disclosure is required by applicable law. 7.11 Town of Mamaroneck will not be liable to LiveBarn by reason of inconvenience or annoyance for any damages or lost revenue due to power loss or shortage,mechanical breakdown,structural damage,roof collapse,fire,flood, renovations,improvements,alterations,or closure of the facility by it or any regulatory agency. 4 Page 92 of 94 Live Li. i 7.12 LiveBarn consents to Town of Mamaroneck promoting in its marketing materials that LiveBarn supplies it with the Automated Online Broadcast System.
