Carried WORK SESSION ITEMS 1. OUT OF ORDER: Discussion - Senior Services Food Service Provider The Board discussed the request for a contract with a new Senior Services Food Service Provider, Hubbard's Cupboard. The contracted rate per meal would move from $8.85 to $9.00 per meal. Town Administrator Meredith Robson noted that the Town is limited, as there are only two possible providers locally in this category. See Attachment A. 2. OUT OF ORDER: Discussion - 2023 Capital Budget Amendments Town Comptroller Tracy Yogman recommended the following Capital Budget Amendments: 1 .Town Center Improvements-LMC Space (H1690) -- The capital plan includes $225,000 for the renovation of the space that had been leased by LMC media before they determined that they would relocate their main studio to Mamaroneck Avenue, obviating the need to renovate the old studio in the Town Center. This budget amendment is recommended to eliminate the Town's share of the renovation costs. If and when a renovation is done, a new budget amendment will be submitted to reflect the Town's share if any. Town Board November 1, 2023 The Board discussed needing to decide what to do with the grant. Comptroller Yogman agreed to check on the grant's date of expiration and let the Board know and mentioned that Representative Steve Otis is checking on whether or not LMC Media could use at a location other than the Town Center location. 2. Gardens Lake (H8592) -- This budget amendment is recommended to correct a transfer between funds based on the final reimbursements from FEMA. 3. Brine (H5142) -- Additional funding is required to complete the brine system installation. 4. Drainage Study (H5135) A budget amendment is needed to increase the County funding received for the drainage study and decrease the funding provided by the Highway Fund. 5. WJWW Garage (H1393) Westchester Joint Water Works (WJWW) -- WJWW has indicated that that the Town is due a refund for this project as our portion was incorrectly calculated. As a result, a budget amendment is recommended to reduce the capital budget and return funds to the Water District. 6. Purchase Booster Pump Station (H1387) -- WJWW has indicated that that the Town is due a refund for this project as well, as our portion was incorrectly calculated. As a result, a budget amendment is recommended to reduce the capital budget and return funds to the Water District. 7. Munis Software Implementation (H1689) -- Additional time is needed to assist the Highway employees with the implementation of the enterprise management system for work orders. A budget recommendation is recommended to complete the project. The new work order system is scheduled to go live in April 2024. 8. Waverly Ave Water Main (H1400) -- The new bridge replacement necessitates the replacement of the existing WJWW water main across the Sheldrake River bridge span. This is a joint project as it is a transmission main replacement. The Town's18.3% share of the project is $64,000. A budget amendment is recommended to fund the project from the contingency budget in the Water District. Councilwoman Katz joined the meeting at 5:10pm. 3. OUT OF ORDER: Discussion - 2023 Operating Budget Amendments Comptroller Yogman to adjust Fire Department salaries, as one Fireman is out on medical leave, so overtime has been greater than originally expected. The Police Department is also seeing an increase in overtime and special duty expenses. In addition, we must adjust for more legal funds to cover the Town's additional legal costs. 4. OUT OF ORDER: Discussion - Q3 Operating Budget Report There was a very brief discussion about the operating budget, as the Board has been discussing during their meeting on the Town's 2024 budget. Comptroller Yogman pointed out that fund balances are a bit better than expected. As there will be legal expenses incurred over the next few months, Comptroller Yogman noted those expenses will come out of the general fund. 5. OUT OF ORDER: Discussion - Q3 2023 Capital Budget Report Comptroller Yogman provided a quick review of capital budgets. Jeffery King joined the meeting at 5:30pm. Town Board November 1, 2023 6. OUT OF ORDER: Request for Executive Session Moved by Councilwoman Nichinsky, seconded by Councilwoman Katz, the Town Board entered into Executive Session to discuss pending litigation involving a capital project, as well as the employment history of a particular individual. Carried Moved by Councilwoman Fiddelman, seconded by Councilman King, the Town Board unanimously agreed to resume the Work Session. Carried 7. ITEM ADDED: Advice of Counsel Moved by Councilwoman Fiddelman, seconded by Councilwoman Katz, the Town Board entered into advice of counsel. Carried Moved by Councilman King, seconded by Councilwoman Katz, the Town Board unanimously agreed to resume the Work Session. Carried 8. Discussion - LMC Media Agreement The Town Board acknowledged the Town needs to enter into another contract with LMC Media, noting that Larchmont Village pays them $650 to cover each meeting. The Village of Larchmont only has about eleven meetings per year, and the Town has about twenty-two. The Board then discussed that the Village of Mamaroneck airs all of their meetings, Work Sessions, Regular Meetings and meetings of other Boards and Commissions. The Board discussed reaching out to LMC Media to discuss a contract for the provision of their services. The Town Board discussed which events might be included in a contract with LMC Media, including important Town events, like parades, the Bunny Hop and events at the Hommocks Ice Rink. Councilwoman Katz noted that LMC Media had given the Town a proposal a few years ago, which included an estimate for covering events. Councilwoman Fiddelman presented the document which included the Bunny Hop, ice rink events, public service announcements, Senior Center events, the Food Truck Festival and more. Councilwoman Katz said there were one hundred ninety tri- municipal events included in that plan. The Town Board discussed the need to address what happens to the equipment if LMC Media ceases to exist. The Board noted that the Town must be able to access past meetings and/or maintain as our own records. Supervisor Elkind Eney agreed to reach out to Mr. Sullivan at LMC Media. 9. Discussion - Tree law Supervisor Elkind Eney reminded the Town Board that they had agreed on the business terms during the last meeting, as well as the number of trees which were seven, five and three. Attorney Maker will make the corrections and changes to the proposed Tree Law, and the Board will hold the public hearing at the next meeting. Councilwoman Katz noted that there are a number of places in the proposed Tree Law where an arborist is noted, and she wondered if the Town should employ a certified arborist on staff. The Town Board discussed and agreed to start the implementation of the new Tree Law with the Town arborist. Councilman King noted Town Board November 1, 2023 that the driving factor is being certified. Comptroller Yogman agreed to check the paperwork she had on file and let the Town Board know if the Town arborist is indeed certified or not. 10. Updates Supervisor Elkind Eney presented the idea of reading out a statement, written by Village of Larchmont Councilwoman Sarah Bauer, about antisemitism at the end of tonight's meeting. The Town Supervisor noted that tomorrow, the statement will be released by all three local municipalities — both Villages and the Town. 11. Additions to Regular Meeting Agenda Supervisor Elkind Eney suggested that the Town Board adjourn the public hearing on the Tree Law to November 15, 2023, so that all of the changes and corrections that had been discussed could be incorporated. Carried 8:00 PM TOWN BOARD REGULAR MEETING The Town Board meeting convened in the Courtroom Located on the second floor at the Town Center. The Public was to view the meeting on cable access television (Optimum 76/ Fios 35) or on LMCMedia.org CALL TO ORDER The Regular Meeting of the Town Board was called to order by Supervisor Elkind Eney at 8:08 p.m. Supervisor Elkind Eney noted that the Town Board met for a Work Session beginning at five o'clock this evening. SUPERVISOR'S REPORT Welcome to the November 1 , 2023, meeting of the Town Board of the Town of Mamaroneck. The Town Board met today for a Work Session in Conference Room D, starting at 5:00pm, which is open to the Public. I hope everyone had a Happy Halloween filled with lots of candy and fun. When you are ready to dispose of your pumpkin, they can be left at the curb the leaf piles to be picked up by our highway department. They will not be picked up separately. Remember election day is November 7. Early voting began this past Saturday and continues through November 5. Any registered voter in Westchester County can vote early at the Town Center but remember on election day you must vote at your assigned voting location. At the October 23 Meeting of the Village of Mamaroneck Board of Trustees, the Village Manager made some false statements regarding Town Actions. The Town will have a full response on our website as soon as possible. On October 25, I attended with Sabrina a vigil in support of the State of Israel and demanding a return of the Israeli Hostages taken by Hamas on their terrorist raid of October. The vigil was well attended, and it remains a heartbreaking situation. On October 26 I attended Oktoberfest which was celebrated at our Senior Center with live music, plenty of dancing and delicious food. I want to thank the recreation department headed by Superintendent Jill Fisher and our Senior Center Co-Ordinator Stephanie Hart and her staff who always do a great job celebrating holidays with our seniors. On October 27, we all attended the TMFD annual inspection at the Weaver Street Firehouse, which was followed by a dinner. At the event, which is a Fire Department tradition, the Department and its personnel and apparatus are inspected by the Chiefs and our elected officials to see that they are in top shape and prepared for another year. In addition, at the event, the TMFD acknowledged the efforts of its members throughout the past year. Local Law Authorizing a Property Tax Levy in Excess of the Limit Established in General Municipal Law §3-c The following Notice of Public Hearing is entered into the record as follows: PUBLIC HEARING NOTICE LEGAL NOTICE IS HEREBY GIVEN that pursuant to Section 130 of the Town Law of the State of New York, a Public Hearing will be held on Wednesday, November 1, 2023 at 8:00 PM or as soon thereafter as is possible, to consider the "Local Law Authorizing a Property Tax Levy in Excess of the Limit Established in General Municipal Law §3-c" Law", at the Town Center, 740 W. Boston Post Road, Mamaroneck, New York. Purpose: It is the intent of this local law to allow the Town of Mamaroneck to adopt a budget for the fiscal year commencing January 1 , 2024, that requires a real property tax levy in excess of the "tax levy limit" as defined by General Municipal Law § 3-c. Town Board November 1, 2023 Carried Moved by Councilwoman Fiddelman, seconded by Councilwoman Katz, the following Local law was approved: Local Law No. 9- 2023 This local law shall be known as the "Local Law Authorizing a Property Tax Levy in Excess of the Limit Established in General Municipal Law §3-c" Law. BE IT ENACTED by the Town Board of the Town of Mamaroneck Section 1 — Purpose: It is the intent of this local law to allow the Town of Mamaroneck to adopt a budget for the fiscal year commencing January 1 , 2024, that requires a real property tax levy in excess of the "tax levy limit" as defined by General Municipal Law § 3-c. Section 2 —Authority: This local law is adopted pursuant to subdivision 5 of General Municipal Law §3-c, which expressly authorizes a local government's governing body to override the property tax cap for the coming fiscal year by the adoption of a local law approved by a vote of sixty percent (60%) of said governing body. Section 3 - Tax Levy Limit Override: The Town Board of the Town of Mamaroneck, County of Westchester, is hereby authorized to adopt a budget for the fiscal year commencing January 1 , 2024, that requires a real property tax levy in excess of the amount otherwise prescribed in General Municipal Law §3-c. Section 4 — Severability: If a court determines that any clause, sentence, paragraph, subdivision, or part of this local law or the application thereof to any person, firm or corporation, or circumstance is invalid or unconstitutional, the court's order or judgment shall not affect, impair, or invalidate the remainder of this local law, but shall be confined in its operation to the clause, sentence, paragraph, subdivision, or part of this local law or in its application to the person, individual, firm or corporation or circumstance, directly involved in the controversy in which such judgment or order shall be rendered. Section 5 - Effective Date: This local law shall take effect immediately upon filing with the Secretary of State. Carried RESIDENT COMMENTS Supervisor Elkind Eney asked if anyone in the audience wished to address the Town Board. Ms. Hannah Shoffet, who lives at 2 Colonial Lane, addressed the Town Board. Ms. Shoffet distributed several photos of the area near Colonial Lane and Daymon Terrace. See Attachment B. She noted that she and a group of her neighbors had also attended a Traffic Committee meeting to share their concerns. Ms. Shoffet explained that she has two young children, ages 5 and 7. The Shoffet children have had so many near misses with cars on their very short walk to school, that the family can no longer count the number of near misses. Recently, a neighborhood youngster was hit on her way to school, which has escalated their level of concern. Ms. Shoffet noted that the residents of Colonial were appreciative of the short-term police presence after the accident, but they are here seeking a long-term solution. Town Board November 1, 2023 Although the police were there only temporarily, they kept people safe in the community and slowed down the traffic. It appeared as if the police had written many tickets while they were there. The issues, Ms. Shoffet continued, include the misplaced stop sign at the intersection of Daymon Terrace and Colonial Avenue. Schoolchildren use the crosswalk on their way to and from school, but it is difficult for drivers to see to the left, around the corner. Therefore, many drivers stop past the crosswalk, which adds to the dangerous situation. In addition, Ms. Shoffet added, the crosswalk is not functional because the drop-off-line continues out via Daymon Terrace. When it rains or snows, it gets even worse, Ms. Shoffet stressed. In addition, Colonial Avenue is a cut-through so speeding is a constant problem. Colonial Avenue is a two-way street, but with parked cars it becomes almost one-way. To add to the danger, there are no sidewalks. When cars park on both sides of the street, people often walk in the middle of the street with their small children. Ms. Shoffet stated, there is a lot of bad driving behavior. With so many young children walking to and from school, Ms. Shoffet and her fifteen to twenty neighbors in attendance believe this 'is a disaster waiting to happen'. The group requested that the Town Board consider moving the crosswalk further out, adding a crossing guard, scheduling police enforcement at pick up and drop off times, putting in speed humps, and adding sidewalks for pedestrians. Ms. Sarah Malin, who lives at 16 Colonial Avenue, also has two small children. Ms. Malin agreed with what Ms. Shoffet had stated, and asked if there was anything else that the group could do. For example, could they fund a crossing guard during school hours? Ms. Malin mentioned that she too has attended a Traffic Committee meeting. There were a dozen or so other concerned neighbors of Ms. Shoffet and Ms. Malin in attendance. All in attendance agreed with what had been presented to the Board. Mr. Mark Kramer from the Town of Mamaroneck spoke next. Mr. Kramer mentioned using Murray Avenue during school hours. Mr. Kramer asked if there could be no parking or no standing in the area to allow for increased visibility. Mr. Kramer also asked if the street could be one-way during school hours, or if there could be parking allowed only on one side of the street during school pick-up and drop-off hours. Councilwoman Katz responded that there was recently a robust conversation at a Traffic Committee meeting regarding the situation on Colonial Avenue and Daymon Terrace. Administrator Robson then explained that the Town has recently looked at both temporary measures, as well as more permanent solutions, that will require Town Board approval through the budget process. Administrator Robson noted that the Town Engineer had recently prepared a review of the situation. Administrator Robson, then read the following excerpt from a letter she had received from the Town Engineer: "Improvements to the existing crosswalks located at the intersection of Daymon Terrace at Colonial Avenue were previously recommended by the Engineering Department following Traffic Committee referral in March 2023. Existing crosswalks at the intersection are limited to pavement markings and lack ADA curb ramps or connection to a sidewalk on Colonial Avenue. Roadway geometry at the intersection contributes to poor sight distance for drivers approaching Colonial Avenue on Daymon Terrace. New compliant crosswalk signage has already been installed by the Town Highway Department to increase visibility for the crosswalk on Colonial Avenue. Recommended permanent improvements consist of modification to the curb alignment on Daymon Terrace and installation of sidewalk extensions and ADA curb ramps through both crosswalk segments. The new sidewalk extension on the southern shoulder on Colonial Ave is planned to transition to existing grass shoulder within the road right-of-way. Construction of the permanent improvements is planned as part of the Town's Sidewalks and Curbing Town Board November 1, 2023 capital project request submitted in the 2024 Town Budget. Finalization of design for the permanent improvements would occur after adoption of the 2024 Town Budget." As a result, the Town is considering installing stanchions to direct traffic in a straighter direction. Administrator Robson noted there is no speed hump planned, as there is no evidence of speeding from recent tests. Administrator Robson agreed to send Ms. Shoffet the speed test results, as there was a concern on Ms. Shoffet's part, that perhaps she did not have a complete report with all of the times reviewed. Ms. Hyemi Cho, of 30 Colonial Avenue, agreed with those that spoke before and suggested a review of the signage as well as a possible fifteen mile-per-hour speed limit. Ms. Cho suggested the Town review the number of tickets that the Police had issued in a thirty- minute window in their area during pick up and drop off at Murray Avenue School. Mr. Jarrod Fass, of 32 Colonial Avenue, supported what his neighbors had said just before and asked the Board how the neighbors could best influence change. The Board responded that coming to the Town Board meetings and attending Traffic Committee meetings are the best ways to effect change. Administrator Robson noted that the crosswalk is likely to happen. Adding a sidewalk is much more costly, and the Town had reviewed about five years ago. The Town had submitted grant applications for sidewalks in that area at that time, but had not received any funding. Mr. Fass pointed out that Byron and Maple Hill streets had recently had their sidewalks redone and asked why those would be redone while Colonial has none. Supervisor Elkind Eney pointed out that the Town's current sidewalks must be maintained. Councilwoman Katz then explained that she had presented some of these issues and ideas to the Town Board during a work session, after having attended the Traffic Committee meeting where the Colonial Avenue/Daymon Terrace group had presented. Supervisor Elkind Eney asked Ms. Shoffet to send her an email with a list of their requests. BOARD OF FIRE COMMISSIONERS 1. Call to Order Commissioner Elkind Eney called the Meeting to order, then on motion of Commissioner Katz and seconded by Commissioner Fiddelman the Board of Fire Commissioners was unanimously declared open. Fire Claims Moved by Commissioner King, seconded by Commissioner Fiddelman, it was RESOLVED that the Board of Fire Commissioners hereby approves the attached list of fire claims. See Attachment C. Other Fire Department Business There being no further business to come before the Fire Commission, on motion of Commissioner Fiddelman, Seconded by Commissioner King, the Commission unanimously adjourned and the Town Board reconvened. AFFAIRS OF THE TOWN OF MAMARONECK 1. Authorization - Senior Services Food Service Provider Moved by Councilwoman Nichinsky, seconded by Councilwoman Fiddelman, it was RESOLVED that the Town Board hereby approves Hubbard's Cupboard as the new vendor for providing food services for congregate meals at the Senior Center and home delivered meals for one year at the contracted rate of $9.00/meal and hereby authorizes the Town Administrator to execute the agreement and any related documents necessary to carry out its implementation. Carried 2. Authorization - 2023 Capital Budget Amendments Moved by Councilwoman Fiddelman, seconded by Councilwoman Nichinsky, it was RESOLVED that the Town Board hereby authorizes the Comptroller to make the necessary budget amendments, as presented. Salary Authorization - Recreation Department Moved by Councilwoman Nichinsky, seconded by Councilwoman Fiddelman, it was RESOLVED that the Town Board hereby approves the appointment of Sharon Burke to the position of Recreation Assistant at an annual salary of$59,754, effective no later than November 10, 2023. Salary Authorization - Highway Department Moved by Councilman King, seconded by Councilwoman Katz, it was RESOLVED that the Town Board hereby approves the appointment of Joseph Alimena to the position of Motor Equipment Operator(MEO) ll at an annual salary of$79,740, effective November 12, 2023 Carried Town Board November 1, 2023 REPORTS OF MINUTES 1. Report of Minutes of October 4, 2023 Moved by Councilwoman Katz, seconded by Councilwoman Fiddelman, it was RESOLVED that the Town Board hereby approves the minutes of October 4, 2023. Carried REPORTS OF THE COUNCIL Councilman King • Thankful for the beautiful Halloween weather and kids and that children were able to truly enjoy the holiday. • Wanted to mention world events and acknowledge the antisemitism that is all around. We need to reach out to our neighbors and stop the hate that is starting to engulf us. As we look around, All Saint's Day may be a time to reflect now as a community and as a nation at what brought us together. Councilwoman Katz • Wanted to thank the Fire Department for their Inspection Dinner. • Attended several budget meetings. Councilwoman Fiddelman • Thanked Councilman King for his words. • Attended Zoning Board meeting. • Thanked the Fire Department for an amazing Inspection and Dinner. Councilwoman Nichinsky • Has been disturbed by recent events and the tremendous rise in antisemitism in this country since the Hamas' attack on Israel. Has never felt more fear as a Jewish person in this country, than she does now. Heartening to hear that municipalities are condemning terrorism and hatred. Hopeful that we will all stand together against antisemitism. ADJOURNMENT Supervisor Elkind Eney closed the meeting by reading the following statement, to be released tomorrow, jointly by the Town of Mamaroneck, Village of Mamaroneck, and Village of Larchmont: As a result of recent events, we have seen an alarming rise in antisemitism, among other forms of hatred. The Town of Mamaroneck and the Villages of Larchmont and Mamaroneck have zero tolerance for hate in all forms. We want everyone to feel safe and know that we value all members of our community. It is up to all of us to stand together and speak up - clearly and unequivocally - against hate, and specifically antisemitism, and any language or action that feeds or normalizes it. Again, when one of us is harmed, we are all harmed. On motion of Councilwoman Fiddelman, seconded by Councilwoman Nichinsky, the regular meeting was unanimously adjourned at 9:08 pm and the Board returned to the work session to continue to discuss the proposed Tree Law. Carried REGULARLY SCHEDULED MEETING - November 15, 2023 Submitted by Allison May, Town Clerk Town Board November 1, 2023 Attachment A Caterer- Horizon 8/30/2023 �= ,ounty George Latimer County Executive Department of Senior Programs and Services Mae Carpenter Commissioner Memorandum Department of Senior Programs and Services To: Patty Szeliga, Program Coordinator From: Antonella Caggiano, Program Administrator Re: Horizon Caterer Assessment Date: September 5, 2023 On Wednesday, August 30, 2023, I visited Horizon Food Service, the caterer that serves the Mamaroneck Congregate and HDM Nutrition Programs. Horizon operates out of Mamaroneck. Simona Persampieri is the owner and main cook. Meals are prepared for delivery on Mondays, Wednesday and Fridays to homebound Mamaroneck residents. Seniors receive a hot meal for the day of delivery, a frozen meal for the next day and, if indicated, a cold sandwich for both days. For this day, the meal delivery total was 11 hot, 11 frozen and 14 sandwiches. All DSPS menu components were included. Menu adherence and quality issues were discussed with Simona. Reviewing the menus when received and communicating these changes to the Nutrition Program could help improve menu compliance and quality. All meals will furnish one-third the Dietary Reference Intakes(DRIs)developed and published by the Institute of Medicine(IOM) and as required by the National Nutrition Program for the Elderly. 5. The following meal pattern will be adhered to,to insure meeting one-third DRIs: meat,fish, poultry(minimum of 2 oz. cooked edible portion not to include breading), vegetables and fruit(three 1 cup servings), grains/whole grains(2 servings, 1 ounce each, one serving must be whole grain), butter or margarine (1-2 tsp),and dairy(1 serving). 6. Westchester County Department of Senior Programs and Services will submit to the Municipality a menu containing a minimum of a six week cycle of meals approved by the project dietitian. The Municipality shall make its best efforts to adhere to this menu. In any event the Municipality shall adhere to the meal pattern requirements set forth in Paragraph 5. 7. The Food Vendor shall provide enough food, according to the meal pattern,to provide meals for an estimated 2-4/ people per day which may include milk, bread, butter, napkins, salt, pepper, knives, forks, spoons and such other necessary items for an adequate table setting as set forth in the bid specifications, the terms of which shall be deemed incorporated by reference herein as if the same were set forth at length. 8. The Food Vendor shall prepare the food hot and ready to serve. Hot food must be at least 140 degrees F. and cold food 45 degrees F.when delivered by the transport vehicle. The Municipality's Nutrition Site Manager will check all delivered food as it arrives to insure proper food temperature and proper number of meals. 9. The Food Vendor will be open for inspection and program evaluation during the normal business hours by representative of local and State Departments of Health, local nutrition program, County and State Offices for the Aging, State Office of General Services, U.S.Administration on Aging, U.S. Department of Agriculture and General Accounting Office. 10. The Food Vendor shall meet all Federal, State and local health codes. 11. The Food Vendor shall be responsible for ensuring that all vehicles used in the transport for food prepared hereunder, are maintained in a clean manner.Such vehicles shall also be available for inspection by the agencies listed in Paragraph 9 above. 12. The Food Vendor will implement any recommendations made by the agencies listed in Paragraph 9. 13. The Food Vendor shall adhere to the provisions of the Civil Rights Act of 1964 and all amendments thereto, Executive Order 11246 and 11375 as supplemented by 41 CFR Part 60 and agrees not to discriminate against any individual on the basis of race,sex, color,creed, age,religion, disability, marital status or national origin. 17. The Food Vendor shall provide the Westchester County Department of Senior Programs and Services with a cost breakdown of the food provided by raw food, preparedfood,transportation, and other costs attributed to the local project as New York State Office for the Aging (NYSOFA)and Administration on Aging may request. 18. The Food Vendor shall submit billings to the Municipality at the end of each calendar month for the actual number of meals prepared and any additional food prepared and delivered at the request of the Municipality's Site Manager during the said calendar month. 19. The Food Vendor agrees to retain records substantiating the basis for payment hereunder for a period of three(3)years following the final payment hereunder, and shall make such records available to representatives of the United States Department of Health and Human Services,the NYSOFA,the Westchester County Department of Senior Programs and Services and the Municipality. In the event one or more of the foregoing agencies commence an audit, or litigation or other action concerning the payments made under this contract,the Food Vendor shall retain such records until such audit, litigation or other action is concluded,or until expiration of the said three-year period, whichever is later. 20. The Food Vendor may terminate this contract at any time during its term without cause by giving not less than sixty(60)days prior written notice to the Municipality of the intention to terminate this contract and the specific termination date. 21.
