Minutes of a meeting of the Board of Ethics of the Town
of Mamaroneck, held at 740 West Boston Post Road, Mamaroneck, New
York, on Tuesday, March 19, 1991, at 7 : 30 P.M.
H. David Willey, Chairman, presided. John W. Herz was
appointed Acting Secretary and kept the minutes of the meeting.
The following members of the Ethics Board were present:

Elaine Price, a member of the Council who is liaison
with the Board of Ethics, joined the meeting shortly after it
began.
Mr. Stephen A. Altieri, at the invitation of the Board
of Ethics, attended the meeting and left before the Board of
Ethics reached its conclusion.
The meeting discussed a request for ruling submitted to
the Board of Ethics from Paul A. Ryan, councilman, and Elaine
Price, councilwoman, dated March 18 , 1991. A copy of that
request together with a copy of a letter attached to that request
from Stephen V. Altieri, Town Administrator, dated March 18, 1991
and the agreement attached thereto dated January 10, 1989 between
the Village of Larchmont and the Town of Mamaroneck are annexed
to the minutes of this meeting.
The Board of Ethics discussed the request and
particularly the compensation proposed to be paid by the Town to
Mr. Altieri and the compensating time proposed to be granted to
Mr. Altieri ' s secretary.
Elaine Price will submit orally to the Town Council of
the Town of Mamaroneck at its meeting on March 19, 1991 the
conclusions reached by the Board of Ethics at this meeting and
the Board of Ethics will submit a written report of its
conclusions to the Town Council of the Town of Mamaroneck.
The meeting was then adjourned.

Dear Mr. Willey:
You will remember that last week we spoke regarding a matter that
should be reviewed by you and the members of the Board of Ethics. A
member of the Town Board has raised a question with respect to my
actions regarding the negotiations of the collective bargaining
agreements on behalf'` of the Village of Larchmont.
In late 1997, the Village of Larchmont requested the the Town
Administrator of the Town of Mamaroneck negotiate the collective
bargaining agreements in the Village of Larchmont. To that end, this
matter was discussed with the Town Board and subsequently an
intermunicipal agreement was executed between the Town of Mamaroneck
and the Village of Iarchmont.
Briefly described, the agreement calls for the Town Administrator to
serve in the role cif labor negotiator in the village of Larchmont. The
original job description for the Town Administrator did not contemplate
this activity and therefore the Town of Mamaroneck is paid a fee for
the collective bargaining services provided by the Town Administrator
and • thin fee is paid to the Town Administrator through the Town of
Mamaxoneck payroll.
The question raised by the member of the Board appears to revolve
around the issue of the clerical responsibilities of the secretary to
the Town Administrator in connection with the labor negotiation
activities. It las been the practice to ansate the secretary for
time spent on Larc cont activities through cc*vpensatory time off.

/n an attempt to avoid any conflict with the office hours of the Town
government, the majority of the time spent on labor negotiations is
outside the normal work day of the Town.
The relationship between the mors of the Town Board and the Town
Zdministr for is critical and for that reason I would ask that you
review this matter as soon possible. I have attached a cry of the
intermunicipal agreement for your review and should you require
additional information, please do not hesitate to call.

;;between the VILLA-GE OF LARCHMONT, a New York Municipal Corporation (hereinafter

Larchmont, New York, and the TOWN OF MAMARONECK, a New York Municipal
Corporation (hereinafter sometimes referred to as ''the Town") , having
offices at 740 West Boston Post Road, Mamaroneck, New York.
WHEREAS, the Village of Larchmont is desirous of engaging the services
,.. ; of a Labor Negotiator in order to assist it in the negotiation and settlement
. 'j of certain labor contracts; and,
i! WHEREAS, STEPHEN V. ALTIERI, the Town Administrator of the Town of
•e Mamaroneck is able to perform the labor negotiation services the Village
of Larchmont is 'in need of; amd,
WHEREAS, the Town of Mamaroneck is willing to provide the Village
!with the services of its Town Administrator, Stephen V. Altieri, for the

;J purpose of assisting the Village in negotiating and settling said
ilabor contracts; and,

,1 WHEREAS, the 'Village is desirous of paying the Town for providing it
; with the services of its Town Administrator for said purpose: ;
I NOW, THEREFORE, IT IS ACREED BY AND BETWEEN THE PARTIES HERETO ' .
Has follows:
1. The Ton will cause its Town Administrator, Stephen V. Altieri,

negotiate and settle a collective bargaining agreement with the local -

i2. The services to be performed shall include conferences with the

Village Board and appropriate Village officials and 'employees regarding the ,
` negotiation and settlement of the above-mentioned contract; conduct of any
II required mediation and/or fact finding procedures; conduct of any required

legislative hearings, improper practice charge proceedings and arbitrations
; in connection with the above contract; drafting of amended collective

bargaining agreement or agreements.
3. The services hereunder will be deemed concluded when the next
collective bargaining agreement between the Village and the above-mentioned
bargaining unit is signed by both parties;
4. the Village will pay the Town the sum of THREE THOUSAND DOLLARS
($3,000.00) for the above-mentioned services, which payment is to be
made on the following schedule:
a) One-third (1/3) within two (2) weeks of the signing of this
agreement;
b) One-third (1/3) on May 15, 1989; and,
c) One-third (1/3) upon execution of the collective bargaining
agreement:
5. By placing his signature on this Agreement, Stephen V. Altieri
indicates his assent to the terms set forth herein. .
